Related Transferee definition

Related Transferee means (i) in the case of any individual, any of the Stockholder's spouse, adult lineal descendants, adult spouses of such lineal descendants, a Living Trust, trusts solely for the benefit of the Stockholder's spouse or the Stockholder's minor or adult lineal descendants, and (in the event of the Stockholder's death) the Stockholder's personal representatives (in their capacities as such), estate or named beneficiaries and (ii) in the case of a business organization, any individual or other business organization controlled by or under common control with such business organization, as such terms but defined within the meaning of Rule 405 under the Act.

Related Transferee means (1) with respect to any Stockholder who is an individual, that Stockholder's spouse, any adult lineal descendants, the adult spouse of any adult lineal descendant, and any trust for the benefit of any minor or adult lineal descendants, and (2) with respect to any Stockholder that is not an individual, any Affiliate of that Stockholder.

Related Transferee means, with respect to any natural Person, such natural Person’s spouse, any lineal descendant of such Person or spouse, trusts for the benefit of any of the foregoing, a corporation all of the outstanding capital stock of which is at all times solely owned by, a limited liability company all of the members of which are at all times solely, or a partnership all of the partners of which are at all times solely, such natural Person and/or any Related Transferee and, in the event of the death of such natural Person, such natural Person’s estate.

• There shall be no further transfer of such Common Stock by a Related Transferee except between and among such Related Transferee, the Management Investor to whom such Related Transferee is related and the other Related Transferees of the Management Investor, or except as permitted by this Agreement.

• Notwithstanding anything to the contrary contained in this Section 2, the Management Investor may Transfer the Management Investor’s Common Stock without restriction to the Management Investor’s Related Transferees (as defined below); provided that each such Related Transferee shall first (i) execute a written consent in form and substance satisfactory to the Company to be bound by all of the provisions of this Agreement and (ii) give a duplicate original of such consent to the Company.

• There shall be no further Transfer of such Common Stock by a Related Transferee except between and among such Related Transferee, the Management Investor and the other Related Transferees of the Management Investor, or except as may otherwise be permitted by this Agreement.

• The Management Investor agrees that he will not Transfer any Restricted Shares prior to an IPO, except to a Related Transferee in accordance with the terms of this Agreement or as otherwise may be permitted or required under this Agreement.

• Notwithstanding anything to the contrary contained in Section 1(f) and this Section 2, the Management Investor may Transfer shares of Common Stock without restriction to the Management Investor’s Related Transferees; provided that each such Related Transferee shall first (i) execute a written consent in form and substance satisfactory to the Company to be bound by all of the provisions of this Agreement and (ii) give a duplicate original of such consent to the Company.

Related Transferee means with respect to any Holder, (a) a spouse, (b) any child or grandchild, (c) any parent or spouse of any child, grandchild or parent, (d) any trust created for the benefit of any of the foregoing or for the benefit of such Holder, (e) any court-appointed legal representative of the estate of such Holder or the estate of any Related Transferee of such Holder, including, but not limited to, an administrator, personal representative, or executor, as established by letters testamentary, letters of administration, or other similar instrument issued by a court of competent jurisdiction or (f) any entity created for the benefit of any Holder or any of the persons enumerated in clauses (a), (b) or (c) hereof or one or more members of such Person’s family where all of the ownership interests of such entity are held directly or indirectly by or for the benefit of only such Person and such family members.

Related Transferee as to any Existing Shareholder, a Transferee that (i) has purchased or otherwise acquired shares of Capital Stock of the Company from such Existing Shareholder and (ii) is a spouse, parent, sibling, child, stepchild or grandchild of such Existing Shareholder or a trust which is for the benefit of such a Person or Persons, or is an Affiliate of such Existing Shareholder.

Related Transferee has the meaning ascribed thereto in Section 6.4 hereof;

Related Transferee means with respect to Xxxxx or any Related Transferee of Xxxxx, (a) a spouse, (b) any child or grandchild, (c) any parent or spouse of any child, grandchild or parent, (d) any trust created for the benefit of any of the foregoing or for the benefit of Xxxxx or any Related Transferee of Xxxxx, (e) any court-appointed legal representative of the estate of Xxxxx or the estate of any Related Transferee of Xxxxx, including, but not limited to, an administrator, personal representative, or executor, as established by letters testamentary, letters of administration, or other similar instrument issued by a court of competent jurisdiction or (f) any entity created for the benefit of Xxxxx or any Related Transferee of Xxxxx or one or more members of such Person’s family where all of the ownership interests of such entity are held directly or indirectly by or for the benefit of only such Person and such family members.

Related Transferee means any person, corporation, partnership or other entity that is an associate or affiliate of Wheaton (as those terms are defined in the Securities Act (British Columbia)), or that is not at arm's length to Wheaton (as that term is defined in section 251 of the Income Tax Act (Canada) or any successor section), or that is acting jointly or in concert with Wheaton (within the meaning of the Securities Act (British Columbia));

Related Transferee means any Related Person who acquires Common Stock from the Stockholder who executes an instrument in the form and substance satisfactory to the Company in which it agrees to be bound by the terms of this Agreement as if an original signatory to this Agreement (in which case each of the Stockholder and each such Related Transferee shall thereafter be a “Stockholder” and collectively the “Stockholders” for all purposes of this Agreement).

Related Transferee means (i) with respect to any Stockholder that is not an individual, any wholly owned Affiliate of such Stockholder, (ii) with respect to a Stockholder that is an individual, the parents, spouse, siblings or children of such individual Stockholder (or trust or trusts for their sole benefit of which trust or trusts such individual Stockholder and or his or her parents, spouse, siblings or children shall be the sole trustee or trustees or co-trustee or co-trustees with an attorney, trust company or other fiduciary), (iii) with respect to such individual Stockholder, a corporation all the shares of which are owned by such individual Stockholder and/or his or her parents, spouse, siblings or children, (iv) with respect to an individual Stockholder, a Person to whom Common Stock has been transferred by operation of law, by will or by the laws of descent, and (v) with respect to Xxxxxxx and Saloner, each as to the other.
