Related Persons definition

Related Persons means, with respect to any Person, each Affiliate of such Person and each director, officer, employee, agent, trustee, representative, attorney, accountant and each insurance, environmental, legal, financial and other advisor (including those retained in connection with the satisfaction or attempted satisfaction of any condition set forth in Article II) and other consultants and agents of or to such Person or any of its Affiliates.

Related Persons means, with respect to any Person, each Affiliate of such Person and each director, officer, employee, agent, trustee, representative, attorney, accountant and each insurance, environmental, legal, financial and other advisor and other consultants and agents of or to such Person or any of its Affiliates.

Related Persons has the meaning set forth in Section 4.22.

Examples of Related Persons in a sentence

• Accordingly, Xxxxxx’s consent is required for Holder and/or such Holder’s Related Persons to participate in the Program and for the STEM Alliance to collect and disclose personal information in connection therewith.

• Xxxxxx understands and agrees that the Promoters are relying on this Release in allowing Xxxxxx and/or such Holder’s Related Persons to participate in the Program.

• In connection with administering the Program, the STEM Alliance will collect personal information from the Holder and such Xxxxxx’s Related Persons, such as name, age, school of attendance, grade level, phone number, e-mail address, and address in addition to any personal content that the Holder and such Holder’s Related Persons may upload or otherwise display in connection with the Program or otherwise disclose to the Promoters.

• Xxxxxx agrees to Xxxxxx’s and/or such Xxxxxx’s Related Persons’ Likeness appearing in such Materials, and Holder hereby waives any publicity rights or other rights Holder and/or such Holder’s Related Persons may have in such Materials.

• By enrolling itself and/or such Holder’s Related Persons in the Program, Xxxxxx’s and/or such Holder’s Related Persons’ name, picture, likeness and/or voice (collectively, “Likeness”) may appear in audio, visual, and/or audiovisual media recordings and images of the Program and related promotional or documentary materials (the “Materials”).

More Definitions of Related Persons

Related Persons means, with respect to any Person, such Person’s predecessors, successors, assigns and present and former Affiliates (whether by operation of law or otherwise) and subsidiaries, and each of their respective current and former officers, directors, principals, employees, shareholders, members (including ex officio members and managing members), managers, managed accounts or funds, management companies, fund advisors, advisory or subcommittee board members, partners, agents, financial advisors, attorneys, accountants, investment bankers, investment advisors, consultants, representatives, and other professionals, in each case acting in such capacity at any time on or after the date of the Restructuring Support Agreement, and any Person claiming by or through any of them, including such Related Persons’ respective heirs, executors, estates, servants, and nominees; provided, however, that no insurer of any Debtor will constitute a Related Person.

Related Persons. With respect to a party, such party’s Affiliates and Subsidiaries and the directors, officers, employees, agents, advisors and controlling persons of such party and its Affiliates and Subsidiaries.

Related Persons means, with respect to the Defendants, each and all of their respective present or former parents, subsidiaries, affiliates, successors and assigns, and each and all of their respective present or former officers, directors, employees, employers, attorneys, accountants, financial advisors, commercial bank lenders, insurers, reinsurers, investment bankers, representatives, general and limited partners and partnerships, heirs, executors, administrators, successors, affiliates, agents, spouses, associates, and assigns of each of them or any trust of which any Defendant and/or their Related Persons is the settlor or which is for the benefit of any Defendant and/or their Related Persons and/or member(s) of his or her family and any entity in which any such Defendant and/or their Related Persons has a controlling interest.

Related Persons means a Parent’s or Participant’s heirs, assigns, executors, administrators, next of kin and other persons acting or claiming to act on their behalf.

Related Persons has the meaning set forth in Section 8.

Related Persons when used with respect to any other Person shall mean and include: members of the family of such Person (including without limitation natural and adopted children, parents, grand-parents, siblings and children of siblings); the estate of such Person upon such Person's death; descendents of such Person; and trusts or similar entities created for the benefit of such Person or any Related Person.

Related Persons means, in relation to a Party, members of the Relevant Party’s Group and the Agents of that Party and of members of the Relevant Party’s Group.
