Reimbursement of General Partner. (a) Except as provided in this Section 6.5 and elsewhere in this Agreement (including the provisions of Articles 5 and 6 regarding distributions, payments, and allocations to which it may be entitled), the General Partner shall not be compensated for its services as general partner of the Partnership.

Reimbursement of General Partner. Except as expressly provided in this Section, the General Partner shall not be compensated for its services as general partner of the Partnership. The General Partner may be reimbursed by the Partnership on a monthly basis for all third-party out-of-pocket expenses it incurs relating to the operation of, or for the benefit of, the Partnership (but, for clarity, not for expenses that are designated as non-reimbursable expenses under the Management Agreement).

The General Partner may utilize the services of any of its Affiliates or the Affiliates of Xxxxxxxx in the course of conducting the business and affairs of the Partnership, and the Partnership may pay, and any such Affiliate shall be entitled to receive, a reasonable fee for any services performed at the request of the General Partner for the Partnership. However, no such fee shall include any allocation of such Affiliate’s direct or indirect overhead expense. The General Partner shall determine which expenses are allocable to the Partnership in a manner which is fair and reasonable to the General Partner and the Partnership, and if such allocation is made by the General Partner in good faith it shall be conclusive in the absence of manifest error.
