Regulatory Consents definition

Regulatory Consents means any consent or approval required under:

Examples of Regulatory Consents in a sentence

• To its knowledge, as of the date of this Agreement, there exists no fact, circumstance or reason that would cause any Required Regulatory Consents not to be received in a timely manner.

• Neither it nor any of its Subsidiaries or any Affiliates thereof has taken or agreed to take any action, and it has no knowledge of any fact or circumstance, that is reasonably likely to materially impede or materially delay receipt of any Required Regulatory Consents.

• All documents that the Parties or their respective Subsidiaries are responsible for filing with any Governmental Authority in connection with the transactions contemplated hereby (including to obtain Regulatory Consents) will comply as to form in all material respects with the provisions of applicable Law.

More Definitions of Regulatory Consents

Regulatory Consents means, collectively, the CorpBanca Regulatory Consents, the Itaú Bank Regulatory Consents and the Itaú Parent Regulatory Consents.

Regulatory Consents means the Competition Act Clearance and all approvals and consents of Governmental Authorities required by reason of the transactions contemplated herein in relation to the specimen collection and laboratory testing Licences required under the Ontario Licensing Act and Quebec Licensing Act for the diagnostic testing facilities of MDS and the Operators in Ontario and Quebec, respectively, relating exclusively to the Diagnostics Business and the specimen collection Licences for the patient service centers of MDS and the Operators in Ontario and Quebec, respectively, relating exclusively to the Diagnostics Business including those set forth in Section 1.1 of the Disclosure Letter;

Regulatory Consents means all authorizations, clearances, consents, orders and approvals required to be obtained from any Governmental Entity in connection with the completion of the transactions contemplated hereby;

Regulatory Consents has the meaning set forth in Section 4.3.
