Regulatory Clearances definition

Regulatory Clearances means all consents, clearances, approvals, permissions, license, variance, exemption, authorization, acknowledgement, permits, nonactions, Orders and waivers required to be obtained from, and all registrations, applications, notices and filings required to be made with or provided to, any Governmental Entity or other third party, other than under or in connection with Antitrust Laws, in connection with the implementation of the Scheme, and/or the Acquisition in connection with the implementation of the Scheme, and/or the Acquisition.
Regulatory Clearances means (i) the Competition Act Clearance and (ii) the expiration or termination of all waiting periods (and any extensions thereof) applicable to the Transactions under the HSR Act;

More Definitions of Regulatory Clearances

Regulatory Clearances means, collectively, the Competition Act Clearance and the HSR Act Clearance;

Regulatory Clearances means receipt by Buyer or Buyer’s Operator of either: (i) a license issued by the Agency to operate the Facility of the type and kind which is substantially consistent with the operations of the Facility as of the Effective Date, or (ii) reasonable assurances by the Agency that the Agency will issue a license authorizing Buyer or to Buyer’s Operator to operate the Facility in a manner substantially consistent with the manner that the Facility was previously operated, and permission to commence such operation.
