The Company and each of its Subsidiaries were in compliance in all respects with the requirements of Regulation A under the Securities Act (“Regulation A”) with respect to the Company’s securities issued pursuant to Regulation A at the time of such issuance, and the Company and each of its Subsidiaries continue to be in compliance in all respects with Regulation A.
Following the initial Offering, Vestible reserves the right, in its sole and absolute discretion, to offer additional securities related to the Series, whether by way of an offering pursuant to Regulation A or another offering exempt from registration pursuant to the Securities Act (a “Follow-On Offering”).
