Regular Directors definition

Regular Directors and up to three (3) “Optional Directors” as follows:
Regular Directors has the meaning set forth in paragraph (a) of Article Fifth.

Examples of Regular Directors in a sentence

  • The Regular Directors of Parties located in the County of Ventura shall elect from among themselves one At-Large member subsequent to the election of the Board Officers.

  • The Regular Directors of Parties located in the County of Los Angeles shall elect from among themselves two At-Large members subsequent to the election of the Board Officers.

  • Regular Directors provided for in the preceding Article shall be appointed by resolution adopted by General Meeting of Members from among those who are neither officers nor employees of Regular Members or Electronic Public Offering Members.

  • The Alternate Directors shall be members of the Board of Directors only in those cases of permanent or temporary absence of the Regular Directors.

  • Alternate Directors shall replace the Regular Directors in the order of their respective designations.

  • The Chairs of each Standing Committee shall be Regular Directors and appointed to a two-year term concurrent with the termof the Board Officers.

Related to Regular Directors

  • Preferred Directors means the Series A Directors and the Series B Directors.

  • Series A Directors means the directors of the Company that have been solely designated by the holders of record of the Series A Preferred Stock pursuant to the Certificate of Incorporation, the Stockholders Agreement or otherwise.

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Investor Directors has the meaning set forth in Section 2(a).

  • Regular ballot means a ballot that is not a provisional ballot.

  • Executive Committee means a group of directors elected or appointed to act on behalf of, and within the powers granted to them by, the Commission.

  • The Board of Directors or "Board" means all those persons appointed to perform the duties of directors of the society;

  • Preferred Director means any director of the Company that the holders of record of the Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Disinterested Directors means, with respect to any Affiliate Transaction, one or more members of the Board of Directors of the Company, or one or more members of the Board of Directors of a Parent, having no material direct or indirect financial interest in or with respect to such Affiliate Transaction. A member of any such Board of Directors shall not be deemed to have such a financial interest by reason of such member’s holding Capital Stock of the Company or any Parent or any options, warrants or other rights in respect of such Capital Stock.

  • Committees means the committees formed under this Act or by the various functionaries of the University as the case may be and includes the Nomination Committee, the Finance Committee and such other committees;

  • Series B Director means any director of the Company that the holders of record of the Series B Preferred Stock are entitled to elect, exclusively and as a separate class, pursuant to the Certificate of Incorporation.

  • Regular Attendance means your personal visits to a Physician which are medically necessary according to generally accepted medical standards to effectively manage and treat your Disability or Partial Disability.

  • Regular Season means, with respect to any Season, the period beginning on the first day and ending on the last day of regularly scheduled (as opposed to exhibition or playoff) competition between NBA Teams.

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • Full Board means the authorized number of voting members of the Board of Education.

  • Sponsor Director means an individual elected to the Board that has been nominated by the Sponsor pursuant to this Agreement.

  • Sub-Committee means a committee of a committee created by the Board.

  • Regular Meeting means a scheduled meeting held in accordance with the approved calendar/schedule of meetings.

  • Board of Directors means the board of directors of the Company.

  • Meeting of Members means an annual meeting of members or a special meeting of members;

  • Continuing Directors means, as of any date of determination, any member of the Board of Directors who (i) was a member of such Board of Directors on the date of the Agreement or (ii) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board of Directors at the time of such nomination or election.

  • Company Board of Directors means the board of directors of the Company.

  • Nomination and Remuneration Committee means a Committee of Board of Directors of the Company, constituted in accordance with the provisions of Section 178 of the Companies Act, 2013 and the Listing Agreement.

  • Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.
