Registration Effective Date definition

Registration Effective Date means the date that the Registration Statement is first declared effective by the SEC.

Registration Effective Date shall have the meaning set forth in Section 5.1.

Registration Effective Date means the date the Registrant first “clicked through” these Terms of Use on the e-OSCAR Website to signify its agreement with these Terms of Use.

• Where the Transporter accepts an Inch Storage Registration Request the Shipper shall be registered on the Inch Storage Register from the Registration Effective Date for the Storage Registration Period as set out in the Inch Shipper Registration Request or as otherwise specified by the Transporter.

• Where the Transporter accepts a Virtual Point Registration Request the Shipper shall be a Registered VRF Shipper at the IP with effect from the Registration Effective Date or as otherwise specified by the Transporter.

• Where the Transporter accepts a Virtual Point Registration Request the Shipper shall be registered as a Shipper at the VExitP with effect from the Registration Effective Date or as otherwise specified by the Transporter.

More Definitions of Registration Effective Date

Registration Effective Date has the meaning specified therefor in Section 2.01(a) of this Agreement.

Registration Effective Date means the first date on which the Registration Statement has been declared effective.

Registration Effective Date means the date that the first Registration Statement covering the Warrant Shares that the Company is required to file pursuant to the Registration Rights Agreement has been declared effective by the SEC. The Company acknowledges and agrees that, the Holder shall be deemed to have certified that it is not a Rule 144 Affiliate and has not been a Rule 144 Affiliate for the preceding three (3) months upon each delivery of an Exercise Form, unless the Holder otherwise advises the Company in writing. For purposes of Rule 144 under the Securities Act and subsection (d)(3)(ii) thereof, it is intended, understood and acknowledged that (X) this Warrant shall be deemed to have been acquired, and the holding period thereof shall be deemed to have commenced, on the Note Issuance Date, and (Y) the Warrant Shares issuable upon any exercise of this Warrant pursuant to a Cashless Exercise shall be deemed to have been acquired, and the holding period thereof shall be deemed to have commenced, on the Note Issuance Date. The Holder, by acceptance hereof, acknowledges and agrees that the removal of any restrictive legends from any securities as set forth in this Section 2(f)(ii) is predicated upon the Company’s reliance that the Holder will sell such securities pursuant to either the registration requirements of the Securities Act or an exemption therefrom, and that if such securities are sold pursuant to a registration statement, they will be sold while such registration statement is effective and available for resales of such securities, in compliance with the plan of distribution set forth therein.

Registration Effective Date means the date upon which the registration of the Conversion Shares and Shares underlying the Warrants is approved by the SEC.

Registration Effective Date means date that the Registration Statement and any amendment is declared effective by the SEC registering the resale of the Shares issuable under the terms of the Debenture;

Registration Effective Date means the earliest of the date that (a) all of the Shares and Warrant Shares are covered by an effective Registration Statement, (b) all of the Shares and Warrant Shares have been sold pursuant to Rule 144 or may be sold pursuant to Rule 144 without the requirement for the Company to be in compliance with the current public information required under Rule 144 and without volume or manner-of-sale restrictions, (c) the one-year anniversary of the Closing Date; provided, that a holder of Securities is not an affiliate of the Company, or (d) all of the Shares and Warrant Shares may be sold pursuant to an exemption from registration under Section 4(a)(1) of the Securities Act without volume or manner-of-sale restrictions and Company counsel has delivered to such holders a standing written unqualified opinion that resales may then be made by such holders of the Shares and Warrant Shares pursuant to such exemption which opinion shall be in form and substance reasonably acceptable to such holders.

Registration Effective Date means the effective date of the registration statement of the Corporation that registers the resale of the Shares in conformity with the Registration Rights Agreement with Esousa Holdings, LLC.
