Registered Parties means interested parties registered with INFRA pursuant to article 1.4;

• You represent and warrant to Active Network, LLC (''Active'') that you have full legal authority and capacity to complete the registration for the Event, including this Agreement and Waiver, on behalf of yourself and/or, where applicable, any party for whom you are registering (the ''Registered Parties''), including full authority to make use of the credit or debit card to which registration fees will be charged.

• At any time before the seventh Business Day preceding the first next Auction Date, ICE Endex may, if reasonably necessary to improve or facilitate the Auction, amend these Auction Rules and ICE Endex shall immediately notify Registered Parties or Bidders, as the case may be, in writing of such decision.

• ICE Endex may, if reasonably necessary for technical or operational reasons or in the event of manifest collusion, decide to terminate the Auction, and ICE Endex shall immediately notify Registered Parties or Bidders, as the case may be, in writing of such decision.

• Registered Parties or Bidders shall have no claim or right in relation to any such termination.

• The Reserve Price shall be communicated on the day prior to the Auction to all Registered Parties via the Auction Bidding Website.

• In addition, if, despite this Agreement and Waiver, any of the Registered Parties makes a claim against Active, you agree, immediately upon request or demand by Active, to defend, indemnify, and hold Active harmless from all Liabilities which may be incurred as the result of such claim.
