Examples of Registered Noteholders in a sentence
Payments of interest and principal on each Class of Notes will be made pro rata to the Registered Noteholders of that Class on each Payment Date.
Waivers of notice by Registered Noteholders will be filed with the Indenture Trustee, but such filing will not be a condition precedent to the validity of any action taken in reliance upon such waiver.
For Definitive Notes, payments will be made (i) if the Noteholder has given to the Note Registrar instructions at least five Business Days before that Payment Date and the aggregate original principal amount of the Noteholder's Notes is at least $1,000,000, by wire transfer to the account of the Registered Noteholder or (ii) by check mailed first class mail, postage prepaid, to the Registered Noteholder's address as it appears on the Note Register on the related Record Date.

In the absence of the Calculation Agent's wilful misconduct, bad faith or manifest error, the calculations of the Calculation Agent will be binding on the Registered Noteholders.
In such a case, the obligations of the Issuer under these Conditions shall be fully discharged and the Registered Noteholders shall have no further claim or recourse against the Issuer.
Any such modification shall be binding on the Registered Noteholders and any such modification shall be notified to the Registered Noteholders by way of a notice in accordance with Condition 14 (NOTICES).

The Registered Noteholders, by subscribing for, or otherwise acquiring, the Registered Notes, are deemed to have (i) consented to any substitution of the Issuer effected in accordance with this Condition 16 and to the release of the Issuer from any and all obligations in respect of the relevant Registered Notes and these presents; and (ii) accepted such substitution and the consequences thereof.
