Registered Affiliate definition

Registered Affiliate means one or more of the Affiliates of Brand Owner listed in Appendix B. If an entity listed in Appendix B ceases to be an Affiliate of Brand Owner (by way of example, due to a change in control), such entity shall lose its status as a Registered Affiliate the same moment it ceased to be an Affiliate of Brand Owner (regardless of whether the entity continues to be listed in Appendix B).

Registered Affiliate means an entity, either Institution or any one of Institution’s Affiliates, identified on an Affiliate registration form that has been accepted by Microsoft and has submitted an Order under this agreement;

Registered Affiliate means an AFFILIATE operating in APPROVED COUNTRIES to the extent identified in Exhibit 1.24 from time to time in accordance with the provisions of Section 2.1.5 below, providing full details of the name, offices and branches of such AFFILIATE or STRATEGIC PARTNER. • The Registered Affiliate may make as many copies of the Products as it needs to distribute them within its organization.

• The Registered Affiliate may use a third party to make these copies, but the Registered Affiliate agrees that it will be responsible for that third party’s actions.

• Such discount shall not apply to any Brand Owner Products that were shipped by or for a Registered Affiliate before the Registered Affiliate was an Affiliate of Brand Owner.

• No License transfer will be valid unless the Registered Affiliate provides to the transferee, and the transferee accepts in writing, the applicable Product Use Rights, use restrictions, limitations of liability, and the transfer restrictions described in this section.

• If Registered Affiliate elects not to place another Order for Software Assurance and it otherwise allows Software Assurance for any copies of any Products licensed to lapse, then the Registered Affiliate will not be permitted to order Software Assurance for those copies later without first acquiring L&SA.

More Definitions of Registered Affiliate

Registered Affiliate means an entity, either Institution or any one of Institution’s Affiliates, that (a) has entered Into an Affiliate Registration under this agreement that has been accepted by Microsoft and has submitted an Order under this agreement, and (b) is either (i) a South Carolina Governmental Body (as defined by S.C. Code Xxx. § 11·35·310(18), as amended), excluding an entity exempted from the South Carolina Consolidated Procurement Code by S.C. Code Xxx. § 11·35-710, as amended (hereinafter "Exempted Entity' , or (II) an Exempted Entity or a South Carolina Public Procurement Unit (as defined by S.C. Code Xxx.§ 11·35-4610(5), as amended).

Registered Affiliate means one or more of the Affiliates of Reseller listed in Appendix B. If an entity listed in Appendix B ceases to be an Affiliate of Reseller (by way of example, due to a change in control), such entity shall lose its status as a Registered Affiliate the same moment it ceased to be an Affiliate of Reseller (regardless of whether the entity continues to be listed in Appendix B).

Registered Affiliate means any Affiliate of Customer to which the SA grants rights to access, use, administer, or manage any Online Services.
