Refining Materials definition

Refining Materials means the materials provided by Customer to Umicore for the Refining Services, including, without limitation, Metal, precious stones, and catalysts.
Refining Materials means any materials provided by Customer to Checon for the Refining Services, including, without limitation, Metal.

Examples of Refining Materials in a sentence

  • Customer shall be responsible for all costs and expenses associated with delivery of the Refining Materials.

  • Unless otherwise set forth in the Agreement, Refining Materials will be delivered DDP Umicore’s facility (Incoterms® 2010).

  • Umicore may refuse to provide Refining Services for the lot of Refining Materials upon conducting Evaluations of the full lot, regardless of any previously inspected samples.

  • Customer shall: (i) package, label, and ship all Refining Materials in accordance with Umicore’s reasonable instructions and applicable laws, rules, and regulations; and (ii) provide Umicore with the applicable packaging and shipping documents for all shipments of Refining Materials.

  • Umicore may reject any Refining Materials that: (i) are not packaged or shipped in accordance with Umicore’s reasonable instructions and all applicable laws, rules, and regulations; (ii) arrive in damaged or opened packaging; (iii) are deemed to be dangerous or hazardous by Umicore, in its sole discretion; or (iv) are damaged or otherwise fail to conform to the Agreement or these Terms.

  • Umicore may, in its sole discretion, inspect Refining Materials after delivery, and any Evaluations (defined below) of Refining Materials will be conducted in accordance with Section 9 (Final Evaluation).

  • Customer acknowledges and agrees that Refining Materials are required to provide the Refining Services, and, to the extent that Customer fails to provide such Refining Materials, Umicore will be relieved of its obligations under the Agreement.

  • Customer shall be responsible for all costs and expenses associated with packaging and shipping the Refining Materials, and Umicore shall not be required to return any packaging.

Related to Refining Materials

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Packaging Materials means the packaging materials for any of the Products, including product labels, packaging inserts, external packaging and similar materials.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Marketing Materials has the meaning ascribed thereto in NI 41-101;

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Building materials means such commodities or articles as are specified by the Administrator by notification to be building materials for the purposes of this Act;

  • Advertising Materials means any advertising, marketing, merchandising, promotional, public relations (including press releases) and display materials relating to or concerning the Licensed Products, or any other advertising, merchandising, promotional, public relations (including press releases) and display materials depicting any of the Licensed Trademarks.

  • GOODS / MATERIALS means any of the articles, materials, machinery, equipments, supplies, drawing, data and other property and all services including but not limited to design, delivery, installation, inspection, testing and commissioning specified or required to complete the order.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Offering Materials means a Fund’s currently effective prospectus and most recently filed registration statement with the SEC relating to shares of the Fund.

  • Promotional Materials means the core written, printed, video or graphic advertising, promotional, educational and communication materials (other than Collaboration Product labeling) for marketing, advertising and promotion of the Collaboration Products.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Court or Court Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Marketing Material means (a) customary bank books, information memoranda and other information packages regarding the business, operations, financial condition, projections and prospects of the Companies and their Subsidiaries, including all information relating to the transactions contemplated hereunder and (b) a customary “road show presentation” and a preliminary and final offering memorandum or private placement memorandum that is suitable for use in a customary “high-yield road show”, in each case required in connection with the Financing.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Standard Materials means all Materials not specified as Custom Materials.
