Refinancing Agreement definition

Refinancing Agreement as defined in Subsection 8.3(c).
Refinancing Agreement means each refinancing agreement in respect of the KfW Refinancing.
Refinancing Agreement means an agreement or agreements that would be a financing agreement except that (i) it refinances an asset acquired under the terms of a contract or contracts that is not a financing agreement solely by virtue of being dated prior to January 1, 1996, September 1, 2006, or January 1, 2007, and (ii) the sum of all payments to be made under such agreement is less than the sum of the payments under the contract or contracts it refinances.

  • Consequently, any reference to an Option A Lender shall include KfW IPEX and any reference to an Option A Refinancing Agreement shall include the Option A Refinancing Agreement deemed to have been entered into by KfW IPEX.

More Definitions of Refinancing Agreement

Refinancing Agreement means any credit agreement or other agreement between the Company and bank lenders pursuant to which the Company refinances borrowings under the Credit Agreement or another Refinancing Agreement.

Refinancing Agreement with respect to the Amended and Restated Credit Agreement or the New Revolving Credit Agreement, as the case may be, a successor agreement satisfying the following criteria: (a) such successor agreement refinances in whole, and replaces the commitments under, the Amended and Restated Credit Agreement or the New Revolving Credit Agreement, as the case may be, (b) either (i) the covenants, representations and warranties and events of default set forth in such successor agreement shall be equivalent to the corresponding provisions set forth in the Amended and Restated Credit Agreement or the New Revolving Credit Agreement, as the case may be or (ii) to the extent such provisions are more restrictive on the Borrower and its Subsidiaries than the provisions of this Agreement, the Borrower shall, contemporaneously with entering into such Refinancing Agreement, enter into with the Administrative Agent an amendment to this Agreement reasonably satisfactory to the Administrative Agent pursuant to which such more restrictive provisions shall be incorporated herein (the Lenders hereby authorizing the Administrative Agent to enter into such amendment), (c) such successor agreement shall not be guaranteed by any Person other than the Subsidiary Guarantors pursuant to the Subsidiary Guarantee and, if applicable, the Borrower and shall not be secured except pursuant to the Security Documents and (d) the lenders under such successor agreement (or an agent for such lenders) shall have entered into an intercreditor agreement with the Administrative Agent, in form and substance reasonably satisfactory to the Administrative Agent, which shall, in any event, contain customary indemnities, liability limitations, exculpation provisions and other customary protective provisions in favor of the Administrative Agent, in its capacity as Agent under (and as defined in) the Subsidiary Guarantee and the Security Documents, substantially equivalent to those set forth in the corresponding provisions of the Amended and Restated Credit Agreement or the New Revolving Credit Agreement, as the case may be.
