Reference Rate Determination Day means the day falling three Business Days prior to the Optional Redemption Date.

Bonds purchased by the Issuer may be held, reissued or resold at the option of the Issuer, or surrendered to the Agent for cancellation.6.7 Multiple NoticesIf more than one notice of redemption is given pursuant to this Condition 6 (Redemption and Purchase), the first of such notices to be given shall prevail.
Reference Rate Determination Day means the day falling three Business Days prior to the Optional Redemption Date. 7.4 Offer to Purchase upon a Change of Control Triggering Event If a Change of Control Triggering Event occurs, unless the Issuer has exercised its option to redeem the Notes pursuant to Conditions 7.2 or 7.3, the Issuer will be required to make an offer (the “Change of Control Offer”) to each Noteholder to purchase all or any part (equal to €100,000 or an integral multiple of €1,000 in excess thereof) of that Noteholder’s Notes. Within 30 days following any Change of Control Triggering Event or, at the option of the Issuer, prior to any Change of Control, but after public announcement of the transaction that constitutes or may constitute the Change of Control, the Issuer will give written notice to the Trustee, in accordance with the procedures set forth in Clause 26 (Notices) of the Trust Deed, describing: (i) the transaction which constitutes or may constitute the Change of Control Triggering Event; (ii) offering to purchase the Notes on the date specified in such notice, which date will be a date no earlier than 30 days and no later than 60 days from the date such notice is given (the “Change of Control Payment Date”); and (iii) including the instructions (as determined by the Issuer) that a Noteholder must follow in order to have its Notes purchased. The notice will, if given prior to the date of consummation of the Change of Control, state that the offer to purchase is conditional on the Change of Control Triggering Event occurring on or prior to the Change of Control Payment Date.
