The Reducing Party and EAP must sign and execute all documents and do all things as may be reasonably requested by the Increasing Party to issue Shares to the Increasing Party in accordance with this Article 9.
Producing Party means the parties to this action and any third-parties producing “Confidential Information” in connection with depositions, document production or otherwise, or the party asserting the confidentiality privilege, as the case may be.
Financing Party means any and all Persons, or the agents or trustees representing them, providing senior or subordinated debt or tax equity financing or refinancing (including letters of credit, bank guaranties or other credit support).
Performing Party As defined in Section 11.12.
Enforcing Party In connection with any Repurchase Request, (i) in the event one or more Requesting Certificateholders or Consultation Requesting Certificateholders has delivered a Final Dispute Resolution Election Notice with respect thereto pursuant to Section 2.03(g) of this Agreement, with respect to the mediation or arbitration that arises out of such Final Dispute Resolution Election Notice, such Requesting Certificateholder(s) and/or Consultation Requesting Certificateholder(s), or (ii) in all other cases, the Enforcing Servicer.
Purchasing Party means CIG Media LLC, NBC Universal, Inc. and their respective Affiliates.
Supplying Party shall have the meaning stated in Section 35.8.2.
Originating Party means the party within whose jurisdiction an application or registration is made or required.
Other Party shall have the meaning set forth in Section 2.9(a).
Billing Party means the Party rendering a bill.
Terminating Party As defined in Section 7.1(f).
Tendering Party has the meaning provided in Section 8.5(a) hereof.
injured party means any person entitled to claim compensation in respect of any loss or injury caused by a vehicle;
Settling Party means any one of, and “Settling Parties” means all of, the parties to the Stipulation, namely Defendants and Plaintiffs (on behalf of themselves and the Settlement Class).
Receiving Party means a Party receiving confidential or proprietary information from the Disclosing Party.
Aggrieved party means a party entitled to pursue a remedy.
Non-Performing Party The Party who is in breach of, or is otherwise failing to perform, its obligations under this Agreement.
Selling Party has the meaning set forth in the definition of “Net Sales.”
Contracting Party shall have the meaning designated in the preamble to Section 5.2 hereof.
Recipient Party means the Party which receives Confidential Information from the other Party.
Delivering Party means the entity supplying capacity and energy to be transmitted at Point(s) of Receipt. Delivery Year:
Consenting Party means a Party who agrees to participate in and pay its share of the cost of an Exclusive Operation.
Managing Party shall have the meaning set forth in Section 7.2(a).
Applicable Party means (1) all corporate officers of the Disclosing Party, if the Disclosing Party is a corporation; all partners of the Disclosing Party, if the Disclosing Party is a general partnership; all general partners and limited partners of the Disclosing Party, if the Disclosing Party is a limited partnership; all managers, managing members and members of the Disclosing Party, if the Disclosing Party is a limited liability company; (2) all principal officers of the Disclosing Party; and (3) any person having more than a 7.5 percent ownership interest in the Disclosing Party. "Principal officers" means the president, chief operating officer, executive director, chief financial officer, treasurer or secretary of a legal entity or any person exercising similar authority.
Issuing Party has the meaning set forth in Section 8.2.2 (Review).
Lender Recipient Party means collectively, the Lenders, the Swing Line Lender and the L/C Issuers.
Lending Party shall have the meaning assigned to such term in Section 11.14.
