Redemption Triggering Event definition

Redemption Triggering Event means (i) the institution against the Corporation of any proceedings under the United States Bankruptcy Code or any other federal or state bankruptcy, reorganization, receivership, insolvency or other similar law affecting the rights of creditors generally, which proceeding is not dismissed within thirty (30) days of filing or (ii) the institution by the Corporation of any proceedings under the United States Bankruptcy Code or any other federal or state bankruptcy, reorganization, receivership, insolvency or other similar law affecting the rights of creditors generally or the making by the Corporation of a composition or an assignment or trust mortgage for the benefit of auditors.
Redemption Triggering Event means any of the following: (a) the sale by the Corporation or its stockholders of shares of Common Stock or other Equity Interests pursuant to a registration statement that is filed and declared effective under the Securities Act (other than a registration statement on Form S-8 or any successor form thereto); or (b) a Change of Control.
Redemption Triggering Event means any of the following events: (i) the Maturity Date (as defined in the Series C Designations) of the Series C Preferred Stock or (ii) any Redemption Event (as defined in the Series C Designations) which triggers the Corporation’s obligation to redeem any shares of Series C Preferred Stock pursuant to the applicable provisions of the Series C Designations.

  • COPE has also reserved its right to dissolve KINOS upon occurrence of a Redemption Triggering Event.

Redemption Triggering Event means any of the following events: (i) the Maturity Date (as defined in the Series C2 Designations) of the Series C2 Preferred Stock or (ii) any Redemption Event (as defined in the Series C2 Designations) which triggers the Corporation’s obligation to redeem any shares of Series C2 Preferred Stock pursuant to the applicable provisions of the Series C2 Designations.
Redemption Triggering Event means (a) the date that Fairfax or Xxxx & Xxxxxxx Holdings Corp. delivers written notice to the Trustee that Fairfax does not intend to refinance the Credit Agreement or to pursue an amendment or waiver permitting Xxxx & Xxxxxxx Holdings Corp. to complete the Assumption, that Xxxx & Xxxxxxx Holdings Corp. does not intend to complete the Assumption, or that the Assumption will otherwise not occur prior to August 29, 2003 or (b) August 29, 2003, if the Assumption is not consummated by August 29, 2003.
Redemption Triggering Event means the Corporation's failure or refusal to convert any shares of Preferred Stock in accordance with the terms hereof, or the providing of written notice to such effect;

  • Redemption Rescission Event means the occurrence of (a) any general suspension of trading in, or limitation on prices for, securities on the principal national securities exchange on which shares of Common Stock or Marketable Securities are registered and listed for trading (or, if shares of Common Stock or Marketable Securities are not registered and listed for trading on any such exchange, in the over-the-counter market) for more than six-and-one-half (6-1/2) consecutive trading hours, (b) any decline in either the Dow Xxxxx Industrial Average or the S&P 500 Index (or any successor index published by Dow Xxxxx & Company, Inc. or S&P) by either (i) an amount in excess of 10%, measured from the close of business on any Trading Day to the close of business on the next succeeding Trading Day during the period commencing on the Trading Day preceding the day notice of any redemption of Securities is given (or, if such notice is given after the close of business on a Trading Day, commencing on such Trading Day) and ending at the time and date fixed for redemption in such notice or (ii) an amount in excess of 15% (or if the time and date fixed for redemption is more than 15 days following the date on which such notice of redemption is given, 20%), measured from the close of business on the Trading Day preceding the day notice of such redemption is given (or, if such notice is given after the close of business on a Trading Day, from such Trading Day) to the close of business on any Trading Day at or prior to the time and date fixed for redemption, (c) a declaration of a banking moratorium or any suspension of payments in respect of banks by Federal or state authorities in the United States or (d) the occurrence of an act of terrorism or commencement of a war or armed hostilities or other national or international calamity directly or indirectly involving the United States which in the reasonable judgment of the Company could have a material adverse effect on the market for the Common Stock or Marketable Securities.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Redemption Notice Date means, with respect to a Redemption, the date on which the Company sends the Redemption Notice for such Redemption pursuant to Section 4.03(F).

  • Debt Repayment Triggering Event means any event or condition which gives, or with the giving of notice or lapse of time would give, the holder of any note, debenture or other evidence of indebtedness (or any person acting on such holder’s behalf) the right to require the repurchase, redemption or repayment of all or a portion of such indebtedness by the Company or any of its subsidiaries.
