Redemption Premium Amount definition

Redemption Premium Amount means, on any date of determination, with respect to any amount of outstanding Principal redeemed or required to be redeemed, an amount equal to the present value as of such date of determination (as determined by the Holder or, if there are other holders whose Notes are also redeemed or required to be redeemed at the same time, as determined by the holders of Notes representing at least a majority of the aggregate principal amount of the Notes being so redeemed or required to be redeemed, in each case, in accordance with customary practice), discounted at the Three-Month Treasury Rate, of the aggregate remaining Interest payment amounts (at the non-default Interest Rate)on the amount of Principal redeemed or required to be redeemed.
Redemption Premium Amount means in relation to a Trigger Event, the amount specified in the applicable Final Terms as being the Redemption Premium Amount in respect of such Trigger Event;
Redemption Premium Amount means in relation to a Step Up Event, the amount specified in the applicable Final Terms as being the Redemption Premium Amount in respect of such Step Up Event;

Examples of Redemption Premium Amount in a sentence

  • The portion of this Note subject to redemption pursuant to this Section 7.1 shall be redeemed by the Company in cash at (i) a price equal to the sum of the Redemption Premium Amount as of the Company Optional Redemption Date and the outstanding Principal being redeemed as of the Company Optional Redemption Date (the “Company Optional Redemption Price”), plus (ii) all accrued but unpaid Interest on such Principal to be redeemed.

  • In no event will any Redemption Premium Amount be required to be paid in connection with payment of the Change of Control Redemption Price or any accrued Interest therewith.

  • To the extent redemptions required by this Section 5.2 are deemed or determined by a court of competent jurisdiction to be prepayments of this Note by the Company, such redemptions shall be deemed to be voluntary prepayments, but will not, in any event, be subject to the payment of any Redemption Premium Amount.

  • For the avoidance of doubt, it is understood and agreed that no Redemption Premium Amount shall be due or payable upon acceleration of this Note.

  • Once notice of redemption is mailed in accordance with Section 3.2 hereof, Bonds called for redemption shall become irrevocably due and payable at a redemption price equal to the applicable Early Redemption Amount thereof or Early Redemption Premium Amount on the Redemption Date.

  • The applicable Final Terms shall specify whether one or more Trigger Events shall apply in respect of each Series of Redemption Premium Notes and the relevant Redemption Premium Amount in respect of each such Trigger Event.

  • A certification of insurance in the amount of $100,000.00 evidencing liquid filled furniture coverage must be provided prior to bringing any liquid-filled furniture into the household.

  • Such notice shall further specify, in the case of a notification of the occurrence of a Trigger Event, (x) in respect of Step Up Notes, the Step Up Margin and the Step Up Date or (y) in respect of Redemption Premium Notes, the Redemption Premium Amount.

  • Each such payment shall be applied first to the payment of Redemption Premium Amount then due and payable, second to the payment of accrued and unpaid interest and, after payment of the Redemption Premium Amount and unpaid interest, to payment of principal.

  • From and after such date, interest on such principal amount shall cease to accrue, unless the Company shall fail to pay such principal amount when so due and payable, together with such accrued interest and Redemption Premium Amount.

Related to Redemption Premium Amount

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Redemption Payment Date As defined in Section 13.1.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Make-Whole Redemption Margin means the margin specified as such in the relevant Final Terms.

  • Change of Control Redemption Premium means 125%.

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Auction Premium means the difference in price (if any) between the Starting Price and the Clearing Price;

  • Redemption Percentage means:·on any Redemption Order Date, a fraction, expressed as a percentage:–the numerator of which is the aggregate number of Down MacroShares that are being redeemed and the denominator of which is the aggregate number of Down MacroShares that are outstanding prior to the redemption, in the case of the Down MacroShares; and –the numerator of which is the aggregate number of Up MacroShares that are being redeemed and the denominator of which is the aggregate number of Up MacroShares that are outstanding prior to the redemption, in the case of the Up MacroShares; or·on the Final Scheduled Termination Date or an Early Termination Date, a percentage equal to 100%.

  • Gross Redemption Yield means, with respect to a security, the gross redemption yield on such security, expressed as a percentage and calculated by the Financial Adviser on the basis set out by the UK Debt Management Office in the paper “Formulae for Calculating Gilt Prices from Yields”, page 4, Section One: Price/Yield Formulae “Conventional Gilts/Double dated and Updated Gilts with Assumed (or Actual) Redemption on a Quasi-Coupon Date” (published 8 June 1998, as amended or updated from time to time) on a semi-annual compounding basis (converted to an annualised yield and rounded up (if necessary) to four decimal places) or on such other basis as the Trustee may approve;

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;
