Redemption Number means the number of shares of Common Stock (appropriately adjusted for any and all stock splits, reverse stock splits, mergers, recapitalizations or similar events which shall have occurred on or before the closing date of the Sale of the Company) into which such Investor's outstanding Debentures as of the date of such Investor's receipt of the redemption notice would have been convertible at the Applicable Conversion Price, such number being capped at such Investor's proportionate share of the Agreed Amount that would have been applicable as of the closing date of the Sale of the Company.
