Redemption Measurement Date definition

Redemption Measurement Date means the Index Business Day following the applicable Redemption Notice Date, subject to adjustments as provided under Section 3 hereof.
Redemption Measurement Date means the Index Business Day following the applicable Redemption Valuation Date.

  • In case an Event of Default with respect to this Security shall have occurred and be continuing, the amount declared due and payable upon any acceleration of the maturity of this Security will be determined by the Calculation Agent and will be an amount in cash equal to the Redemption Amount, calculated as if the date of acceleration were the Redemption Measurement Date.

  • In no event, however, will any postponement pursuant to the two immediately preceding paragraphs result in the final Averaging Date or the Redemption Measurement Date, as applicable, occurring more than three Index Business Days following the day originally scheduled to be such final Averaging Date or Redemption Measurement Date.

  • The Accrued Tracking Fee as of the Redemption Measurement Date is an amount equal to (a) the product of (i) the Quarterly Tracking Fee calculated as of such Redemption Measurement Date and (ii) a fraction, the numerator of which is the total number of calendar days from and excluding the Redemption Valuation Date to and including such Redemption Measurement Date, and the denominator of which is 90, plus (b) the Adjusted Tracking Fee Shortfall, if any.

  • Within three (3) Business Days after the Company Warrant Redemption Measurement Date, each of the Company and the holder of this Warrant shall deliver to the other a written calculation of its determination of the Black-Scholes Amount.

  • The “Adjusted Tracking Fee Shortfall,” as of anyRedemption Measurement Date, is the difference between the Adjusted Tracking Fee and the Adjusted Reference DistributionAmount, to the extent that the Adjusted Reference Distribution Amount, calculated as of such Redemption Measurement Date, is less than theAdjusted Tracking Fee, calculated as of such Redemption Measurement Date.

  • We refer to this cash payment as the “Redemption Amount.” We have determined to offer all holders of the Securities the option, upon early redemption and solely for purposes of determining the Redemption Amount, but not for any other purpose, to elect that the Index Performance Ratio (which is used to calculate the Redemption Amount) be calculated using the Index Closing Level on the Redemption Measurement Date instead of the Final VWAP Level.

Related to Redemption Measurement Date

  • Redemption Calculation Date means the sixth Payment Business Day prior to the date on which the Notes are redeemed as a result of any event specified in this § 5(3).(b) Notice of redemption shall be given by the Issuer to the Holders in accordance with § 14 and shall be delivered to the Fiscal Agent not less than 15 days before and shall at least specify:

  • Redemption Dates means, collectively, the Event of Default Redemption Dates, and the Optional Redemption Dates, each of the foregoing, individually, a Redemption Date.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Gross Redemption Yield means, with respect to a security, the gross redemption yield on such security, expressed as a percentage and calculated by the Financial Adviser on the basis set out by the UK Debt Management Office in the paper “Formulae for Calculating Gilt Prices from Yields”, page 4, Section One: Price/Yield Formulae “Conventional Gilts/Double dated and Updated Gilts with Assumed (or Actual) Redemption on a Quasi-Coupon Date” (published 8 June 1998, as amended or updated from time to time) on a semi-annual compounding basis (converted to an annualised yield and rounded up (if necessary) to four decimal places) or on such other basis as the Trustee may approve;

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Redemption Limit means the sum of the Maximum Daily Redemption Limits applicable to the LS Margin Account Agreement relating to the ETP Securities.

  • Redemption Period means the period from, and including, the relevant Redemption Notice Date until the close of business on the second Scheduled Trading Day immediately preceding the related Redemption Date.

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.
