Redemption Funds definition

Redemption Funds as defined in Section 5.1(r).
Redemption Funds means an amount equal to the aggregate Consideration to be paid to the Minority Shareholders in accordance with the Redemption;
Redemption Funds means any monies that would be required to fund any redemptions pursuant to all Elections outstanding with respect to a particular Redemption Period; and

Examples of Redemption Funds in a sentence

  • The Issuer will cause the Administrator to determine, on each Principal Determination Date, the Available Redemption Funds and the amount of principal payable on each Note on the following Interest Payment Date.

  • The Available Redemption Funds on a Principal Determination Date shall be apportioned between the Class A Notes, the Class B Notes and the Class C Notes to determine the Class A Available Redemption Funds and the Subordinated Available Redemption Funds as at such Principal Determination Date.

  • Each Subordinated Lender will also agree to make advances available to the Issuer if and to the extent that the Issuer does not have sufficient Available Redemption Funds to enable it to make any Mandatory Further Advances which it is required to make.

  • The principal amount so redeemable in respect of each Note (each a Redemption Amount) on the relevant Notes Payment Date shall be the Available Redemption Funds on the Notes Calculation Date relating to that Notes Payment Date divided by the number of Notes of the relevant Class subject to such redemption (rounded down to the nearest euro), provided always that the Redemption Amount may never exceed the Principal Amount Outstanding of the relevant Note.

  • On each Note Payment Date following the Last Replenishment Date, the Issuer shall apply an amount equal to the Available Redemption Funds determined in respect of such Note Payment Date in or towards redemption of the Notes.

  • After the satisfaction in full of amounts ranking in priority to this paragraph (taking into account any such amounts payable on any future Distribution Date), Available Revenue Funds in an amount equal to the amount otherwise payable under this paragraph will be applied by or on behalf of the Security Trustee as Actual Redemption Funds under the Series Pre-Acceleration Principal Priority of Payments.

  • Unless previously redeemed in full and provided that no Enforcement Notice has been served in accordance with Condition 10, on each Notes Payment Date the Issuer will be obliged to apply the Available Class S Redemption Funds to (partially) redeem on a pro rata basis, the Class S Notes, until fully redeemed, subject to Condition 9(b) (Principal).

  • Provided that no Enforcement Notice has been served in accordance with Condition 10 (Notices), on each Notes Payment Date the Issuer will, in accordance with Condition 6(c) (Redemption of the Class S Notes), be obliged to apply the Available Class S Redemption Funds to (partially) redeem the Class S Notes, until fully redeemed, subject to Condition 9(b) (Principal).

  • After the satisfaction in full of amounts ranking in priority to the Series Residuals in this priority of payments (taking into account any such amounts payable on any future Distribution Date), Available Revenue Funds in an amount equal to the amount otherwise payable on the Series Residuals under this paragraph will be applied by or on behalf of the Security Trustee as Actual Redemption Funds under the Series Pre-Acceleration Principal Priority of Payments.


More Definitions of Redemption Funds

Redemption Funds has the meaning ascribed thereto in subsection 1(a) of the Escrow Agreement;

Redemption Funds means (a) during the period from the Closing Date until any and all amounts due under the Buyer Promissory Note have been fully paid and the Buyer Promissory Note has been extinguished, the amount that equals (i) 50% of the earnings before interest, taxes, depreciation and amortization (“EBITDA”) of the “Business” (as defined in the Asset Purchase Agreement), calculated in accordance with generally accepted accounting principles, for the last four quarters preceding the Redemption Funds calculation, minus (ii) the sum of all dividend payments paid by the Corporation to the Holder for the Series A Preferred Stock during the last 12 months preceding the Redemption Funds calculation, minus (iii) $1,200,000; and (b) during the period from the date the Buyer Promissory Note has been extinguished until the Series A Preferred Stock has been fully redeemed, the amount that equals (x) 100% of the EBITDA of the “Business” (as defined in the Asset Purchase Agreement), calculated in accordance with generally accepted accounting principles, for the last four quarters preceding the Redemption Funds calculation, minus (y) the sum of all dividend payments paid by the Corporation to the Holder for the Series A Preferred Stock during the last 12 months preceding the Redemption Funds calculation, minus (z) $1,200,000; provided, however, since the Redemption Funds calculation is intended to cover a full twelve-month period, until the Redemption Funds calculation period includes a full twelve-month period after the Closing Date, the calculation of the Redemption Funds shall be adjusted for each of (a)(i) and (ii), and (b)(x) and (y) above, by dividing the amount so calculated in such subsection by the number of days between the Closing Date and the end of such calculation period, and then multiplying such amount by 365.

Related to Redemption Funds

  • Redemption Fund means the fund by that name established pursuant to Section 5.04.

  • Redemption Account means, in respect of ETP Securities, a bank account to receive payments in the Relevant Currency of the Optional Redemption Amount in respect of the redemption of such ETP Securities, which account shall be:

  • Redemption Fee means the fee applied by us for the return of funds to an IBAN Account holder, or Cardholder following a request for redemption by an IBAN Account holder Cardholder under this Agreement, as specified in the attached Fees & Limits Schedule;

  • Maturity Redemption Payment means an amount per Deposit to which you are entitled on the Maturity Date based on the performance of the Reference Portfolio which is equal to your Principal Amount x (1 + Variable Return).

  • Redemption Day means the last Business Day of each week or such other day or days as the Directors may from time to time determine that Participating Shares in the Fund are available for redemption;

  • Redemption Form means a standardized form prescribed by the Management Company to be duly filled by the investor to redeem Units and will be stated in this Offering Document.

  • Redemption Dates means, collectively, the Event of Default Redemption Dates, and the Optional Redemption Dates, each of the foregoing, individually, a Redemption Date.

  • Redemption Securities means any debt or equity securities of the Corporation, any Subsidiary or any other corporation or other entity, or any combination thereof, having such terms and conditions as shall be approved by the Board of Directors and which, together with any cash to be paid as part of the redemption price, in the opinion of any nationally recognized investment banking firm selected by the Board of Directors (which may be a firm which provides other investment banking, brokerage or other services to the Corporation), has a value, at the time notice of redemption is given pursuant to paragraph (d) of this Section 5, at least equal to the Fair Market Value of the shares to be redeemed pursuant to this Section 5 (assuming, in the case of Redemption Securities to be publicly traded, such Redemption Securities were fully distributed and subject only to normal trading activity).

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Sinking Fund Redemption Date Has the meaning specified in Section 6.06 of the Indenture.

  • Redemption Basket means 100,000 Units or such other number of Units as may be determined by the General Partner from time to time, redeemed by a Participant.

  • Redemption Price when used with respect to any Security to be redeemed, means the price at which it is to be redeemed pursuant to this Indenture.

  • Redemption Time means the time at which the right to exercise the Rights shall terminate pursuant to Section 5.1 hereof.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Redemption means with respect to any Debt, the repurchase, redemption, prepayment, repayment, defeasance or any other acquisition or retirement for value (or the segregation of funds with respect to any of the foregoing) of such Debt. “Redeem” has the correlative meaning thereto.

  • Redemption and Paying Agent means, with respect to any Series, State Street Bank and Trust Company and its successors or any other redemption and paying agent appointed by the Fund with respect to such Series.

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Redemption Prices means, collectively, Event of Default Redemption Prices, and the Company Optional Redemption Prices and each of the foregoing, individually, a “Redemption Price.”

  • Redemption Period shall have the meaning set forth in Section 23(a) hereof.

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.
