Redemption Call definition

Redemption Call means a written notice from the Agent to the Companies stating that the Agent has determined any of the following:
Redemption Call means a written notice from the Agent to the Company stating that the Agent has determined that the weighted average FICO score of all pledged Alt-A Loans is less than 680 and calling on the Company to redeem lower FICO score pledged Alt-A Loans to correct such deficiency if and as required by SECTION 6.4.
Redemption Call means a written notice from the Agent to the Company stating that the Agent has determined that either (i) the weighted average FICO score of all pledged Alt-A Loans is less than 690 and calling on the Company to redeem lower FICO score pledged Alt-A Loans to correct such deficiency if and as required by Section 6.4, (ii) the weighted average FICO score of all pledged Second Lien Loans and HELOCs is less than 690 and calling on the Company to redeem lower FICO score pledged Second Lien Loans and HELOCs to correct such deficiency if and as required by Section 6.4, or (iii) less than ninety-five percent (95%) of the aggregate Principal Balances of all Pledged Loans — excluding Alt-A Loans, Second Lien Loans, Repurchased Loans, Subprime Loans, Jumbo Loans and Super Jumbo Loans — fully conform to all underwriting and other requirements for purchase by Xxxxxx Xxx or Xxxxxxx Mac and calling on the Company to redeem a sufficient number of nonconforming Mortgage Loans to correct such deficiency if and as required by Section 6.4

Examples of Redemption Call in a sentence

  • In connection with an exercise of the option contained in Condition 6(f) (Optional Early Redemption (Call)) in relation to some only of the Notes, the Notes represented by this Global Registered Note may be redeemed in part in the principal amount specified by the Issuer in accordance with the Conditions and the Notes to be redeemed will not be selected as provided in the Conditions.

  • In connection with an exercise of the option contained in Condition 5(c) (Optional Early Redemption (Call)) in relation to some only of the Covered Bonds, the Covered Bonds represented by this Global Registered Covered Bond may be redeemed in part in the principal amount specified by the Issuer in accordance with the Conditions and the Covered Bonds to be redeemed will not be selected as provided in the Conditions.

  • The Liquidation Call Right, the Retraction Call Right and the Redemption Call Right are hereby acknowledged and confirmed by the Parties, and it is agreed and acknowledged that such rights are granted as part of the consideration for the obligations of CSAC and Exchangeco under this Agreement.

  • If CSAC does not exercise the Redemption Call Right in the manner described above, on the Redemption Date or the Later Redemption Date, as applicable, the holders of the Exchangeable Shares so redeemed by Exchangeco will be entitled to receive in exchange therefor the Redemption Price otherwise payable by Exchangeco pursuant to Article 8 of the Exchangeable Share Provisions.

  • Provided that the total Redemption Call Purchase Price is delivered or paid on the Redemption Date or the Later Redemption Date, as applicable, the Exchangeable Shareholders (other than any Exchangeable Shareholder which is an Affiliate of CSAC ) shall thereafter be considered and deemed for all purposes to be the holders of CSAC Subordinate Voting Shares delivered to them.

  • If CSAC exercises the Redemption Call Right then, on the Redemption Date or the Later Redemption Date, as applicable, CSAC will purchase and the Exchangeable Shareholders (other than any Exchangeable Shareholder which is an Affiliate of CSAC) will sell all of the Exchangeable Shares then outstanding on the Redemption Date or the Later Redemption Date, as applicable, for a price per Exchangeable Share equal to the Redemption Call Purchase Price.

  • To exercise the Redemption Call Right, CSAC must notify (i) Exchangeco of CSAC’s intention to exercise such right within five Business Days of receiving the Redemption Notice from Exchangeco in accordance with Section 8.2(a) of the Exchangeable Share Provisions and (ii) the Exchangeable Shareholders in accordance with Subsection 8.2(b) of the Exchangeable Share Provisions as if references to Exchangeco therein were to CSAC.

  • The Liquidation Call Right, the Retraction Call Right and the Redemption Call Right are hereby acknowledged and confirmed by the Parties, and it is agreed and acknowledged that such rights are granted as part of the consideration for the obligations of CRC and Exchangeco under this Agreement.

  • This Agreement shall continue notwithstanding the consummation of a Redemption, Call or Direct Exchange and all governance or other rights set forth herein shall be exercised by the remaining Members and the Redeeming Member (to the extent of such Redeeming Member’s remaining interest in the Company, if any).

  • Section 12.1 The certificates evidencing the Exchangeable Shares shall contain or have affixed thereto a legend in form and on terms approved by the Board of Directors, with respect to the Exchangeable Share Support Agreement, the provisions of the Plan of Arrangement relating to the Liquidation Call Right, the Redemption Call Right and the Retraction Call Right, and the Voting and Exchange Trust Agreement (including the provisions with respect to the automatic exchange thereunder).

Related to Redemption Call

  • Redemption Call Right has the meaning ascribed thereto in the Plan of Arrangement.

  • Redemption Call Purchase Price has the meaning ascribed thereto in section 5.2(a);

  • Redemption Calculation Date means the sixth Payment Business Day prior to the date on which the Notes are redeemed as a result of any event specified in this § 5(3).(b) Notice of redemption shall be given by the Issuer to the Holders in accordance with § 14 and shall be delivered to the Fiscal Agent not less than 15 days before and shall at least specify:

  • Redemption Limit means the sum of the Maximum Daily Redemption Limits applicable to the LS Margin Account Agreement relating to the ETP Securities.

  • Redemption Period shall have the meaning set forth in Section 23(a) hereof.

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Optional Redemption Settlement Date means the second Valuation Date after the Optional Redemption Pricing Date, provided that such Valuation Date is not a Disrupted Day and that such Valuation Date is both a Currency Business Day and a Clearing System Business Day.

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Final Redemption Settlement Date means the day that falls three Currency Business Days after the Final Redemption Date.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Redemption Form means a standardized form prescribed by the Management Company to be duly filled by the investor to redeem Units and will be stated in this Offering Document.

  • Redemption Day means the last Business Day of each week or such other day or days as the Directors may from time to time determine that Participating Shares in the Fund are available for redemption;

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Redemption Dates means, collectively, the Event of Default Redemption Dates, and the Optional Redemption Dates, each of the foregoing, individually, a Redemption Date.

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Make-whole Redemption Rate means (i) the average of the four quotations given by the Reference Dealers of the mid-market annual yield to maturity of the Reference Security on the fourth Business Day preceding the Make-whole Redemption Date at 11:00 a.m. (Central European Time ("CET")) ("Reference Dealer Quotation") or (ii) the Reference Screen Rate, as specified in the relevant Final Terms.

  • Redemption Payment Date As defined in Section 13.1.
