Redemption Assets definition

Redemption Assets. Collectively, the Collateral Obligations and Eligible Investments.
Redemption Assets means all cash and other assets which have been paid or delivered in respect of the redemption of any Affected Reference Notes, or to which a Notional Holder would be entitled upon completion of customary documentation and satisfaction of other conditions provided for under the termsof the Affected Reference Notes, to the extent that such actions by the Notional Holder would not cause it to incur any costs or expenses (including in respect of transfer fees and stamp duty) or risk of liability or loss. For the avoidance of doubt, Redemption Proceeds shall not include the redemption proceeds of a Series of Reference Notes which is redeemed in accordance with the documentation relating to the relevant Series of Reference Notes on the relevant Reference Notes Scheduled Maturity Date.

Examples of Redemption Assets in a sentence

  • The Unit Redemption Price payable in respect of such REIT Units tendered for redemption during any month shall be paid by the transfer of the Unit Redemption Assets, to or to the order of the REIT Unitholder who exercised the right of redemption, on or before the last business day of the calendar month following the month in which the REIT Units were tendered for redemption.

  • No principal amount of Redemption Assets that is not an integral multiple of $10 will be distributed and, where Redemption Assets to be received by a former REIT Unitholder include a principal amount that is not an integral multiple of $10, the principal amount of such Redemption Assets shall be rounded to the nearest integral multiple of $10 (with $5 being rounded up).

  • For purposes of this Section 10.05, no principal amount of Redemption Assets that is not an integral multiple of $10 will be distributed and, where Redemption Assets to be received by a former Unitholder include a principal amount that is not an integral multiple of $10, the principal amount of such Redemption Assets shall be rounded to the nearest integral multiple of $10 (with $5 being rounded up).

  • The Trust shall be entitled to all interest or other income, as applicable, paid on the Redemption Assets up to and including the Transfer Date.

  • The Redemption Price payable pursuant to this Section 10.05 in respect of Units tendered for redemption during any month shall be paid by the transfer, to or to the order of the Unitholder who exercised the Redemption Right, on or before the last Business Day (the “ Transfer Date”) of the calendar month following the month in which the Units were tendered for redemption, of the Redemption Assets.

  • Payments by the Trust of the Redemption Price per Unit are conclusively deemed to have been made upon the mailing of the in specie distribution of Redemption Assets by registered mail, postage prepaid, addressed to the former Unitholder and/or any party having a security interest.

  • Payments by the Company of the Retraction Price per Common Share are conclusively deemed to have been made upon the mailing of the in specie distribution of Redemption Assets by registered mail, postage prepaid, addressed to the former shareholder and/or any party having a security interest.

  • The Company shall be entitled to all interest or other income, as applicable, paid on the Redemption Assets up to and including the Transfer Date.

  • The Company shall deliver the Bill of Sale, Assignment and Xxxumption attached as Exhibit E (the "Bill of Sale"), Deeds generalxx xn the form of Exhibit F (the "Deeds"), and such other documents as may be reasonably required to transfer the Redemption Assets and Liabilities to the Stockholder.

  • Except for appropriate approval from the FCC and the consents from certain lenders or lessors reflected on Schedule 3.3, no consent of any governmental authority or of any other person is required for the distribution of the Redemption Assets to the Sellers.

Related to Redemption Assets

  • Redemption Proceeds means any proceeds in any applicable currency from a redemption in respect of the Charged Assets in accordance with the terms and conditions of such Charged Assets.

  • Redemption Value means, in respect of a Unit, the price per Unit at which such Unit is redeemed, calculated in accordance with the Trust Deed.

  • Redemption Day means the last Business Day of each week or such other day or days as the Directors may from time to time determine that Participating Shares in the Fund are available for redemption;

  • Redemption Securities means any debt or equity securities of the Corporation, any Subsidiary or any other corporation or other entity, or any combination thereof, having such terms and conditions as shall be approved by the Board of Directors and which, together with any cash to be paid as part of the redemption price, in the opinion of any nationally recognized investment banking firm selected by the Board of Directors (which may be a firm which provides other investment banking, brokerage or other services to the Corporation), has a value, at the time notice of redemption is given pursuant to paragraph (d) of this Section 5, at least equal to the Fair Market Value of the shares to be redeemed pursuant to this Section 5 (assuming, in the case of Redemption Securities to be publicly traded, such Redemption Securities were fully distributed and subject only to normal trading activity).

  • Redemption Account means, in respect of ETP Securities, a bank account to receive payments in the Relevant Currency of the Optional Redemption Amount in respect of the redemption of such ETP Securities, which account shall be:

  • Redemption Notes means unsecured subordinated promissory notes of the Trust having a maturity date to be determined at the time of issuance by the Trustee (provided that in no event shall the maturity date be set at a date subsequent to the first Business Day following the fifth anniversary of the date of issuance of such note), bearing interest from the date of issue at a market rate of interest determined at the time of issuance by the Trustee, payable for each month during the term on the 15th day of each subsequent month with all principal being due on maturity, such promissory notes to provide that the Trust shall at any time be allowed to prepay all or any part of the outstanding principal without notice or bonus.

  • Redemption means with respect to any Debt, the repurchase, redemption, prepayment, repayment, defeasance or any other acquisition or retirement for value (or the segregation of funds with respect to any of the foregoing) of such Debt. “Redeem” has the correlative meaning thereto.

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Redemption Basket means 100,000 Units or such other number of Units as may be determined by the General Partner from time to time, redeemed by a Participant.

  • Redemption Rights means the redemption rights provided for in Section 9.2 of the SPAC Certificate of Incorporation.

  • Redemption Event has the meaning set forth in Section 3.4.

  • Redemption Fund means the fund by that name established pursuant to Section 5.04.

  • Redemption Call Purchase Price has the meaning ascribed thereto in section 5.2(a);

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Redemption Payment Date As defined in Section 13.1.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Redemption Dates means, collectively, the Event of Default Redemption Dates, and the Optional Redemption Dates, each of the foregoing, individually, a Redemption Date.

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Mandatory Redemption Settlement Date means, in respect of a Mandatory Redemption Event, the day that falls three Currency Business Days after the day on which the Issuer has received payment in full from the Margin Loan Provider of the amounts payable in respect of the termination of the LS Margin Account Agreement.
