Examples of Redacted Fee Letter in a sentence
Parent shall promptly deliver to the Company copies of any written amendment, modification, supplement, consent or waiver to or under any Financing Letter, any related Redacted Fee Letter (which may be redacted in a fashion consistent with the Redacted Fee Letters) or, to the extent entered into prior to the Closing, the Definitive Financing Agreements promptly upon execution thereof.
Except for the Redacted Fee Letter and related arrangements with respect to the Debt Commitment Letter, there are no side letters, understandings or other agreements or arrangements relating to the Debt Financing to which Parent, Purchaser or any of their Affiliates are a party.
As of the date hereof, neither the Debt Commitment Letter nor the Redacted Fee Letter have been amended or modified in any respect prior to the date of this Agreement and no such amendment or modification is contemplated.
The copies of the Financing Commitments attached hereto as Exhibit F are true, accurate and complete copies of the Financing Commitments as in effect on the date of this Agreement (other than with respect to the redacted portions of the Redacted Fee Letter).
As of the date of this Agreement, the Financing Commitments have not been amended, supplemented or otherwise modified in any respect (provided that the existence or exercise of the “market flex” provisions contained in the Redacted Fee Letter in connection with the Debt Financing Commitments shall not constitute an amendment, supplement or modification of the Debt Financing Commitments), and the financing commitments thereunder have not been withdrawn, terminated or rescinded in any respect.
