Recoupment Amount definition

Recoupment Amount means the amount of Incentive-Based Compensation Received by the Covered Person based on the financial statements prior to the restatement that exceeds the amount such Covered Person would have received had the Incentive-Based Compensation been determined based on the financial restatement, computed without regard to any taxes paid (i.e., gross of taxes withheld).
Recoupment Amount has the meaning assigned in Section 4.4(b)(1) of this Agreement.
Recoupment Amount means the sum of the Daily Recoupment Amounts; provided, however, that the Recoupment Amount shall in no event exceed -------- $1,000,000.

  • At the end of each month, the accruals made pursuant to Section 1.3 above shall be netted, and the result shall be remitted by the Investment Manager to the Fund if such netting results in an Excess Amount, and it shall be remitted to the Investment Manager if such netting results in a Recoupment Amount and the Investment Manager is entitled to a Recoupment Amount pursuant to Section 2.1 below.

More Definitions of Recoupment Amount

Recoupment Amount means an AC Payment Amount, DC Payment Amount, WC Payment Amount or Expense Payment Amount, as such amounts are reflected in a notice given in accordance with this Agreement, whether or not an Objection Notice has been delivered and whether or not the period during which an Objection Notice may be delivered has expired.
Recoupment Amount means, as of any date, the aggregate amount, as of such date, received, directly or indirectly, by the Company or any of its Subsidiaries, whether through insurance, a judgment or otherwise, in reimbursement of any expenses or charges of the Company or any of its Subsidiaries relating to the loan fraud described in the memorandum attached as Exhibit A hereto; provided that, for purposes of Section 8.10(d) hereof, Recoupment Xxxxxx xxxxx xx xxxnded down to the nearest multiple of $100,000".
Recoupment Amount means the amount of applicable Incentive-Based Compensation (i.e., Incentive-Based Compensation that meets the criteria in Section 2) Received by the Covered Person based on the financial statements prior to the accounting restatement that exceeds the amount of Incentive-Based Compensation such Covered Person would have received had the amount of Incentive-Based Compensation been determined based on the applicable accounting restatement, computed without regard to any taxes paid (i.e., gross of taxes withheld). A description of how the “Recoupment Amount” shall be calculated for Incentive-Based Compensation based on stock price or TSR is contained in Exhibit B.
