Recording Costs means all costs incurred with respect to the production of Masters embodying the Artist's performances, including audio visual recordings, and which are customarily recognized as Recording Costs in the phonograph record industry including but not limited to all expenses incurred in connection with the production of audio and/or visual masters and all payments and/or advances to Artist hereunder, as well as payments to all of the musicians (including without limitation, instrumentalists, leaders, arrangers, orchestrators, copyists and contractors) vocalists and producers, if any, rendering services in connection with any recordings hereunder, payments to union pension and welfare funds, costs of cartage and instruments hire, studio or hall rentals, editing costs, distribution fees, licensing fees, payroll taxes and other payments to third parties on Artist's behalf, tour support, liability and medical insurance and legal accounting fees payable to Artist's own legal counsel or accountant (if any such payments are actually made by Company) and customary artwork if done by other than in-house artists, all taxes, third parties fees, fees for replay or a sampling licenses, and other reasonable expenses incurred by Company for the purpose of production of the Masters and Records and all costs attributed to promotional costs, marketing and advertising costs expended in furtherance of the sale of Records produced from the Masters.
Recording Costs shall include, without limitation, all minimum union scale payments made to you, all payments made to any other individuals rendering services in connection with the production and recording of the Masters (including, without limitation, the individual producers and co-producers of the Masters), all other payments which are made pursuant to any applicable law or regulation or the provisions of any collective bargaining agreement between us and any union or guild (including, without limitation, payroll taxes and payments to union pension and welfare funds and/or health and retirement funds), all amounts paid or incurred for studio or hall rentals, tape, engineering, editing, mixing, remixing, instrument rentals and cartage, mastering, transportation and accommodations, immigration clearances, trademark and service xxxx searches and clearances, any so-called "per diems" for any individuals (including you) rendering services in connection with the recording of the Masters, together with all other amounts paid or incurred in connection with the production, recording and delivery to us of the Masters. Recording Costs shall be recoupable from royalties payable by us hereunder.
Recording Costs. Wages, fees, advances and payments of any nature to or in respect of all musicians, vocalists, conductors, arrangers, orchestrators, engineers, producers, copyists, etc.; payments to a trustee or fluid based on wages to the extent required by any agreement between Company and any labor organization or trustee; union session scale payable to Artist; all studio, tape, editing, mixing, re-mixing, mastering and engineering costs; authoring costs; all costs of travel by persons other than Company employees, per diems, rehearsal halls, non-studio facilities and equipment, dubdown, rental and transportation of instruments; all costs occasioned by the cancellation of any scheduled recording session; and all other costs and expenses incurred in the production, but not the manufacture, of Masters and Records hereunder, and any Demos hereunder, which are then customarily recognized as recording costs in the recording industry. Notwithstanding anything to the contrary contained herein, any Recording Costs for all remixes from any particular Album which are paid, incurred or reimbursed by Company after Delivery of the Masters constituting the Album concerned shall be recoupable solely from royalties (other than mechanical copyright royalties) payable to Artist hereunder and shall not be recoupable from Advances. If Company furnishes any of its own facilities, materials, services or equipment for which Company has a standard rate, the amount of such standard rate or if there is no standard rate, the market value for the services or thing furnished shall be deemed Recording Costs. Payments to the AFM Special Payments Fund and the Music Performance Trust Fund based upon record sales (so-called "per-record royalties") shall not be recoupable from your royalties or reimbursable by you.
