The Parties hereby represent to the Escrow Agent that (i) there is no sale or transfer of an United States Real Property Interest as defined under IRC Section 897(c) in the underlying transaction giving rise to this Agreement; and (ii) such underlying transaction does not constitute an installment sale requiring tax reporting or withholding of imputed interest or original issue discount to the IRS or other taxing authority.
To Seller’s Knowledge, there are no underground or aboveground storage tanks or known or suspected asbestos-containing materials on, at, under or about any of the Transferred Real Property Interests, nor, to the Knowledge of Seller, were there any underground storage tanks on, at, under or about any such Transferred Real Property Interest in the past.
Landmark shall exercise commercially reasonable efforts to deliver to OpCo a 2006 ALTA standard owner’s policy of title insurance (or the equivalent if such form is not available with respect to any particular jurisdiction) from Fidelity National Title Insurance Company (or another nationally recognized insurance company) for each Real Property Interest in an Asset that insures OpCo’s interest in and thereto, subject, in each case, to the pre-printed exceptions to such policy and the Permitted Liens.
PGE shall have received an assignment of each Contract (as set forth on Schedule 5.10) and each Real Property Interest (as set forth on Schedule 5.8), executed by all parties thereto, all in form and substance reasonably acceptable to PGE, and an estoppel letter from each counterparty to each Contract executed and delivered no earlier than ten (10) days prior to the Closing Date substantially similar to the form set forth in Exhibit D.
Prior to the Execution Date, Sellers have made available to Buyer Natural Hazard Disclosure Statements (the “Disclosure Statement”) for each Real Property Interest in a form and to the extent required by the Act and including various other disclosures as required by applicable Laws.
