RBC Stock definition

RBC Stock means shares of common stock, par value $.01 per share, of Regal Beloit Corporation.
RBC Stock means shares of common stock, par value $.01 per share, of Regal Beloit Corporation. “Real Property” means the Owned Real Property and Leased Real Property.

  • Unless otherwise agreed in writing with the Bank, the Bank will not pre-fund any Northbound trading orders made by a Customer or pre-fund the settlement of Stock Connect Securities via the RBC Stock Connect Service.

  • Where necessary, ACSLPA members are encouraged to seek out additional supports for their practice such as legal advice and/or infection prevention and control advice.This advisory refers to Alberta Health Services (AHS) resources which are intended for use by AHS workers and health care workers practicing outside of AHS.

  • Unless and until the Customer has settled all payment obligations in connection with any and all Northbound buy orders, the Bank is entitled not to release to the Customer’s account any Stock Connect Securities acquired by virtue of the buy orders or any other Stock Connect Securities the Bank has executed for (but not released to) the Customer under the RBC Stock Connect Service.

  • These Stock Connect Terms apply where the Customer uses, or indicates to the Bank that the Customer intends to use, the RBC Stock Connect Service.

  • Common Shares means the common shares in the capital of the Company;

  • Equity Stock means all classes or series of capital stock of the Company authorized under the Charter, including, without limit, its common stock, $.001 par value per share, and preferred stock, $.001 par value per share.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Class A Stock means the Company's Class A Common Stock, par value $0.01 per share.

  • Shares means the interests of Shareholders corresponding to the redeemable securities of record issued by the Fund under the Investment Company Act of 1940 that are held by the Intermediary.

  • Series B Stock means the Company's Series B Convertible Preferred Stock, par value $0.000001 per share.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.

  • Fully-Diluted Common Stock means the outstanding Common Stock and the shares of Common Stock issued or issuable upon exercise of Warrants (assuming full exercise).

  • Fully Diluted Shares means an amount equal to the sum of (a) the total number of shares of Common Stock outstanding immediately prior to the Effective Time, plus (b) the total number of shares of Common Stock that all In-the-Money Options outstanding immediately prior to the Effective Time are exercisable into at such time and without any withholding of shares to pay the exercise price or Taxes.

  • Ordinary Share Capital means any issued and outstanding shares of the Company with voting or other rights of management and control and any outstanding securities of the Company that are convertible into such shares at the option of the holder;

  • Company Shares has the meaning set forth in the Recitals.

  • Parent Common Shares means the common shares of the Parent;

  • Series A Stock means the Company's Series A Convertible Redeemable Preferred Stock, par value $.005 per share.
