Rated Included Investor definition

Rated Included Investor means any Investor that has a Rating meeting the relevant minimum requirement included in the definition of “Applicable Requirement” (or that has a Credit Provider, Sponsor, or Responsible Party that has such a Rating).

Rated Included Investor means any Institutional Investor that satisfies the Applicable Requirement and has been approved by the Administrative Agent in its reasonable discretion (but once approved, such approval may not be withdrawn except, for the avoidance of doubt, if such Investor becomes subject to an Exclusion Event).

Examples of Rated Included Investor in a sentence

  • Designation of any other Subsequent Investor as a Rated Included Investor, and designation of any Subsequent Investor as a Non-Rated Included Investor will require the consent of all Lenders.

  • BBB+/Baa1 or higher No minimum BBB/Baa2 or lower 85% and (e) otherwise a Rated Included Investor, a Rating of BBB-/Baa3 or higher.

  • Funding Ratio A-/A3 or higher No minimum BBB-/Baa3 to BBB+/Baa1 80% and (e) otherwise a Rated Included Investor, a Rating of BBB-/Baa3 or higher.

Related to Rated Included Investor

  • Designated Investor means an Investor (a) that has been approved in writing as a Designated Investor by Administrative Agent and the Required Lenders, in their sole discretion, and (b) in respect of which there has been delivered to Administrative Agent:

  • Qualified Investor means an investor who has been certified by the commissioner under subdivision 3.

  • Excluded Holder means (a) any Person who at the time this Plan was adopted was the beneficial owner of 20% or more of the outstanding Common Stock; or (b) the Company, a Subsidiary or any Employee Benefit Plan of the Company or a Subsidiary or any trust holding Common Stock or other securities pursuant to the terms of an Employee Benefit Plan.

  • Qualified investment has the meaning set forth in Section 313.021(1) of the TEXAS TAX CODE, as interpreted by the Comptroller’s Rules.

  • Specified US Person means (i) a US citizen or resident individual, (ii) a partnership or

  • Applicant’s Qualified Investment means the Qualified Investment of the Applicant during the Qualifying Time Period and as more fully described in EXHIBIT 3 of this Agreement.
