Qualifying Termination of Employment definition

Qualifying Termination of Employment means either (i) an involuntary termination of employment by the Company or an Affiliate other than for Cause or Disability during the Protected Period; or (ii) a voluntary resignation by the Participant for Good Reason during the Protected Period.
Qualifying Termination of Employment means a Participant’s Termination of Employment (i) by the Company without Cause or (ii) by the Participant with or without Good Reason or by reason of Retirement.
Qualifying Termination of Employment means a termination of the Executive’s employment with the Company due to his death, a Termination due to Disability (as defined in Section 8(b) of the Agreement) a Termination due to Retirement (as defined in Section 8(d) of the Agreement), a Termination Without Cause (as defined in Section 8(c) of the Agreement) or a Termination for Good Reason (as defined in Section 8(d) of the Agreement).

  • The Restrictions shall lapse and be of no further force or effect on the earlier of the date (1) there is a payout under the Profit Sharing Program unless, prior to such payout, the Executive Officer Participant incurs a Disqualifying Termination of Employment or (2) an Executive Officer Participant incurs a Qualifying Termination of Employment.

  • If Executive’s employment terminates for any reason other than for a Qualifying Termination of Employment, then Executive shall not be entitled to any benefits under this Agreement.

  • However, if a Change of Control shall occur during the Term, the Term shall automatically continue in effect for a period of eighteen (18) months following the Change of Control plus, in the event of Executive’s Qualifying Termination of Employment for Good Reason, any additional time period necessitated by the Company’s right to cure as set forth in the definition of Good Reason, and thereafter shall automatically terminate.

Qualifying Termination of Employment means a termination of the Employee's employment under any of the following circumstances:
