Qualifying Award definition

Qualifying Award means an Award made in accordance with the provisions of Section 10.
Qualifying Award means an Option or an Award that is held by a person who had been an employee, director, consultant or agent to Data I/O for at least 180 days as of the effective date of a Change in Control.
Qualifying Award means an Award intended to qualify under the exception for performance-based compensation in Section 162(m) granted to an Eligible Individual pursuant to Section 14 hereof.

More Definitions of Qualifying Award

Qualifying Award means an award that (a) has a grant date value as reasonably agreed to in good faith by the Executive on the one hand, and Lazard and PubliCo on the other hand, and (b) becomes fully vested (and if applicable, exercisable) upon the occurrence of a Change of Control or a Qualifying Termination.

  • Company Restricted Stock Unit means any restricted stock unit award subject to service-based vesting, payable in shares of Company Common Stock or the value of which is determined with reference to the value of shares of Company Common Stock, whether granted under a Company Stock Plan or otherwise.

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.

  • Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.
