  • The Company shall have the option (exercisable by notice to the Offeree and the Quadrangle Investors given within fifteen (15) days ("Company Election Period") after receipt of notice of the Offer from the Offeree) to purchase all (but not fewer than all) of the Offered Shares at the same price and on the same terms specified in the Offer, except as provided in Section 2.2.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • KKR means each of Kohlberg Kravis Xxxxxxx & Co., L.P. and KKR Associates, L.P.

  • Oaktree means Oaktree Capital Management, LLC and its Affiliates, including any partnerships, separate accounts or other entities managed by Oaktree.

  • Founders means all Members immediately prior to the consummation of the IPO.

  • Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.

  • Majority Members means Members holding a majority of the Units owned by all Members or if there is only one Member, such Member.

  • Majority Stockholder means any person that would be a “50-percent shareholder” (within the meaning of section 382(g)(4)(D) of the U.S. Tax Code) of Common Stock if such person claimed a Worthless Stock Deduction at any time on or after the Petition Date.

  • Lead Investor means Empery Asset Master, Ltd.
