Put Purchase Price definition

Put Purchase Price means the purchase price for the 20% of TFM stock held by the Federal Government of the United Mexican States, as defined in the Put Agreement and calculated under the Twenty-Sixth Clause of the Stock Purchase Agreement.
Put Purchase Price. With respect to any Certificate for which the related Certificateholder has exercised the Put Option or, the Standby Purchaser has exercised the Optional Call, the sum of (A) the outstanding Certificate Principal Balance of such Certificate on the Put Date (after giving effect to distributions otherwise made on such date) multiplied by the Applicable Purchase Price Percentage plus (B) accrued and unpaid interest on the outstanding Certificate Principal Balance of such Certificate immediately prior to the Put Date at the applicable Pass-Through Rate.
Put Purchase Price. As defined in Section 5.3(a).

Examples of Put Purchase Price in a sentence

  • Notwithstanding anything to the contrary in this Agreement, at any time following the Initial Sale Date, but not later than the Put End Date (as defined below), NSFB may, upon written notice delivered to the City (the ―Put Notice‖), at any time, in NSFB’s sole and absolute discretion, for any reason or no reason, elect to have the City purchase the Property from NSFB for the Put Purchase Price (as defined below).

  • If NSFB delivers the Put Notice, then the City shall be obligated to purchase the Property from NSFB for the Put Purchase Price, on the date that is thirty (30) days after the date NSFB delivers the Put Notice to the City, pursuant to the terms and conditions of the Purchase and Sale Agreement and Joint Escrow Instructions attached hereto as Exhibit ―B‖ (the ―Put PSA‖).

  • Simultaneously with such funding of an Additional Capital Contribution, the Partnership or the General Partner (or its assignee) as the case may be, shall tender the Call Purchase Price, and if applicable, the Put Purchase Price, to Universal in immediately available funds, and in exchange, Universal shall comply with Section 7.6 hereof.

  • As a condition to receipt by Universal of the Call Purchase Price and, as applicable, the Put Purchase Price, Universal and the Partnership shall execute an assignment agreement with respect to the Transfer which shall include a written undertaking by Universal to deliver such other instruments, agreements or other documents as the Partnership may reasonably deem necessary to evidence such Transfer.
