Purchaser’s Knowledge definition

Purchaser’s Knowledge means the actual knowledge, without inquiry, of Mxxxxx Xxxxx or Gxxxxx Xxxxxxx.

Purchaser’s Knowledge means the actual knowledge of the officers of Purchaser.

Purchaser’s Knowledge has the meaning specified in Section 4.5.

Examples of Purchaser’s Knowledge in a sentence

• There is no Action or Order pending or, to Purchaser’s Knowledge, overtly threatened against Purchaser or any of its Affiliates that would have a Purchaser Material Adverse Effect.

• There is no civil, criminal or administrative action, suit, demand, claim, hearing, proceeding or investigation pending or, to Purchaser’s Knowledge, threatened against Purchaser that, individually or in the aggregate, would materially impair or delay the ability of Purchaser to effect the Closing.

• There are no bankruptcy, reorganization or arrangement proceedings pending against, being contemplated by, or to the Purchaser’s Knowledge, threatened against Purchaser.

• This scheme is currently in place and is working well supporting the ‘early discharge of patients’ home within 24 hrs of referral.

• There is no Proceeding pending or, to such Purchaser’s Knowledge, threatened against such Purchaser, which seeks an order restraining, enjoining, or otherwise prohibiting or making illegal any of the transactions contemplated hereby or by the other Transaction Documents.

More Definitions of Purchaser’s Knowledge

Purchaser’s Knowledge or “Knowledge of the Purchaser” means the actual knowledge of Xxxxxx X’Xxxxx.

Purchaser’s Knowledge means the actual knowledge of the persons set forth on Section 1.01(a) of the Purchaser’s Disclosure Schedule.

Purchaser’s Knowledge means, with respect to any fact, circumstance, event or other matter in question, the actual knowledge of any officer of Purchaser.

Purchaser’s Knowledge or any similar phrase, with respect to Purchaser, means the actual knowledge following a reasonable inquiry with his direct reports directly responsible for the applicable subject matter of Hxxxxx Xxxxxxxx and Wxxxxxx Xxxxx.

Purchaser’s Knowledge means facts that are known by Purchaser's executive officers and directors.
