The authorized capital stock of Purchaser consists of 500,200,000 shares, divided into two classes, as follows (a) 500,000,000 shares of common stock, no par value (the "Purchaser Common Stock"), of which 21,333,869 shares were issued and outstanding as of the date of this Plan of Merger; and (b) 200,000 shares of preferred stock, no par value (the "Purchaser Preferred Stock"), of which no shares were issued and outstanding as of the date of this Plan of Merger.
After the date of this Plan of Merger, the number of issued and outstanding shares of Purchaser Common Stock and Purchaser Preferred Stock is not subject to any change before the Effective Time pursuant to any binding contracts, other than the issuance of shares of Purchaser Common Stock upon the exercise of any Purchaser Share-Based Awards granted pursuant to a Purchaser Stock Plan.
As of the Capitalization Date of this Agreement, 459,342,893 shares of Purchaser Common Stock are Outstanding, and no shares of Purchaser Preferred Stock are Outstanding.
As of the date of this Agreement: (A) 14,678,233 shares of Purchaser Common Stock were issued and outstanding (not including shares held in treasury); (B) zero shares of Purchaser Common Stock were issued and held by Purchaser in its treasury; and (C) no shares of Purchaser Preferred Stock were issued and outstanding or held by Purchaser in its treasury.
In connection with such assignment, and for the avoidance of doubt, each of the parties acknowledges that (a) MAS will acquire the Share, (b) the Purchaser is issuing the Purchaser Preferred Stock Consideration on behalf of MAS in connection with the acquisition of the Share by MAS and (c) the assignment by the Purchaser and the assumption by MAS will not relieve the Purchaser of any of its obligations under the Agreement.
