The Joint Remediation Committee shall have access to Purchaser Personnel that are primarily responsible for the area of the business relationship (such as information technology, data security or regulatory) where the breaches giving rise to the Major Default arise (such Purchaser Personnel, collectively, the “Subject Matter Experts”).
Seller hereby grants (or, as applicable, cause its Affiliates to grant) Purchaser and Purchaser Personnel a nonexclusive and irrevocable (for the Term) license to use the Covered Facilities to conduct the Business during the Term.
Purchaser Personnel shall not be deemed to be employees or agents of the Seller or any of its Affiliates.
For the purpose of monitoring the Work-in-Process being performed by Contractor hereunder, Contractor shall provide office facilities for up to [***…***] Purchaser employees or Purchaser Personnel involved in the regular review, monitoring and assessment of the technical portions of the Work resident at Contractor’s plant(s) through the On-Orbit Satellite Acceptance testing of the last Satellite to be delivered under this Contract, including any optional or replacement Satellites.
Contractor will obtain similar office facilities at the plants of Major Subcontractors for visits and meetings of Purchaser’s employees, Purchaser Personnel involved in the regular review, monitoring and assessment of the technical portions of the Work and Contractor to such plants in accordance with Section 3 of the Statement of Work.
Purchaser Personnel shall be allowed to attend all the Major Subcontractor’s design and technical reviews.
The Purchaser will have the sole and exclusive responsibility for Purchaser Personnel, will supervise the Purchaser Personnel and will cause the Purchaser Personnel to cooperate with the Seller in performing the Services in accordance with the terms and conditions of this Agreement and will be responsible for the payment of all employee benefits, compensation insurance, employment taxes and all other employer liabilities relating to such Purchaser Personnel.
Seller shall use commercially reasonable efforts to provide, and as necessary shall cause its Affiliates to provide, the Services to Purchaser, Purchaser Personnel and Purchaser’s Affiliates during the Term.
Contractor shall permit a reasonable number of Purchaser employees or Purchaser Personnel to attend the SPSR pursuant to this Article 9; provided, however, that the provisions of Article 7 and Article 8 shall apply to any such Purchaser employee and Purchaser Personnel.
In the event the Closing does not occur and this Agreement is terminated, Purchaser shall promptly return to Seller, and shall use reasonable efforts to cause all Purchaser Personnel to return to Seller, all copies of all such information without retaining any copy thereof or extract therefrom.
