Purchaser Fee Letter definition

Purchaser Fee Letter. Each Fee Letter Agreement, dated as of the date hereof, by and among the Seller, the Servicer, and the applicable Purchaser Agent, as amended, modified, waived, supplemented, restated or replaced from time to time.

Purchaser Fee Letter. The Amended and Restated Purchaser Fee Letter, dated as of the Third Amendment and Restatement Effective Date, by and among the Seller, the Servicer and the Administrative Agent, as amended, modified, waived, supplemented, restated or replaced from time to time.

Purchaser Fee Letter. With respect to any Purchaser, the fee letter among such Purchaser, the Seller and any other parties thereto relating to the fees payable to such Purchaser in connection with the transactions contemplated hereby, as any such letter may be amended, modified, waived, supplemented, restated or replaced from time to time.

• The Agent, the Seller and each Purchaser shall have received executed counterparts of the Purchaser Fee Letter, duly executed by each of the parties thereto, and all fees due from Seller thereunder on the date hereof shall have been paid.

• The effectiveness of this Amendment is conditioned upon: (i) payment of the outstanding fees and disbursements of the Purchasers; (ii) payment of the outstanding fees and disbursements of Dechert LLP, as counsel to the Administrative Agent and the Purchasers; (iii) delivery of executed signature pages by all parties hereto to the Administrative Agent; and (iv) delivery and execution of certain amendments to each Purchaser Fee Letter by the parties thereto.

Purchaser Fee Letter means the Purchaser Fee Letter dated on or about the date hereof, among the Issuer and the Purchasers party thereto, as it may be amended, restated, amended and restated, supplemented or otherwise modified from time to time.
