Purchased Security definition

Purchased Security means a share of Class A Preferred Shares issued by Agilent Technologies (Cayco) Limited, an exempted company organized under the laws of the Cayman Islands, with an issue price per share of USD 100,000; provided that if any new or different Security or other consideration shall be exchanged for any Purchased Security by recapitalization, merger, consolidation, conversion or other action, or received in connection with a redemption of any Purchased Security, such new or different Security, or other consideration shall, effective upon such exchange or redemption, be deemed to become a Purchased Security, in substitution for the former Purchased Security for which such exchange is made, only to the extent the rating agencies issuing a rating with respect to the Agreement shall have confirmed in writing that such substitution will not result in a reduction or withdrawal of the rating of the Agreement.
Purchased Security has the meaning specified in the Confirmation;

  • Buyer shall not be required to purchase the Purchased Security if any such purchase shall result in any violation of applicable rules or regulations, including, but not limited to, rules applicable to new issuances of securities.

  • Each Purchased Security is freely assignable and the related Securitization Document permits the Seller to sell, assign or pledge such Purchased Security.

  • If the limitations described above would result in the partial repayment of any Purchased Security, the principal amount of the Purchased Security remaining outstanding after repayment must be at least $1,000.

  • Any amendment or waiver effected in accordance with this Article XI shall be binding upon the Company and each holder of any Purchased Security sold pursuant to this Agreement.


More Definitions of Purchased Security

Purchased Security means a Related Security sold by Seller to Buyer in a Transaction, together with (i) Seller’s rights under any related Takeout Commitment and Trade Assignments (including the rights to receive the related Takeout Price as evidenced by such Trade Assignments), if applicable, (ii) all related Income, (iii) such other property, rights, titles or interest as are specified on a related Transaction Notice, and (iv) all documents, instruments, chattel paper, and general intangibles and all products and proceeds relating to or constituting any or all of the foregoing.
Purchased Security means all Securities transferred by Seller to Buyer in a Transaction under the Agreement that have not been repurchased or liquidated pursuant to this Agreement.
