Purchased Securities definition

Purchased Securities has the meaning assigned in the Terms;

Purchased Securities the Securities transferred by Seller to Buyer in a Transaction hereunder, and any Securities substituted therefor in accordance with Paragraph 9 hereof. The term "Purchased Securities" with respect to any Transaction at any time also shall include Additional Purchase Securities transferred pursuant to Paragraph 4(a) and shall exclude Securities returned pursuant to Paragraph 4(b);

Examples of Purchased Securities in a sentence

• The Investor acknowledges that the Purchased Securities and the Warrant Shares have not been registered under the Securities Act or under any state securities laws.

• On the terms and subject to the conditions set forth in this Agreement, the Company agrees to sell to the Investor, and the Investor agrees to purchase from the Company, at the Closing (as hereinafter defined), the Purchased Securities for the price set forth on Schedule A (the “Purchase Price”).

• For as long as the Investor owns any Purchased Securities or Warrant Shares, the Company, to the extent it is not itself an insured depository institution, agrees to remain predominantly engaged in financial activities.

More Definitions of Purchased Securities

Purchased Securities means the Units purchased under this Subscription Agreement;

Purchased Securities means the Common Shares and Warrants comprising the Purchased Units and the Common Shares issuable upon the exercise of such Warrants;

Purchased Securities means those Units which the Subscriber has agreed to purchase under this Agreement;
