Purchase Request or "purchase requisition" means that document whereby a using
Purchase Report has the meaning set forth in Section 2.1 of the Sale Agreement.
Purchase Requisition means a duly authorized written or electronically produced request in an approved format to obtain goods or services.
Deferred Purchase Price shall have the meaning set forth in Section 2(a).
Stock Purchase Price has the meaning set forth in Section 2 of the Subscription Agreement.
Repurchase Request As defined in Section 2.03(g).
Unit Purchase Price shall have the meaning ascribed to such term in Section 2.1(b).
Micro-purchase threshold means the dollar amount at or below which a district may purchase property or services using micro-pur- chase procedures. Generally, the micro-purchase threshold for pro- curement activities administered under federal awards is not to ex- ceed the amount set by the Federal Acquisition Regulations (FAR) at 48 C.F.R. Part 2, Subpart 2.1 [see below], unless a higher threshold is requested by the district and approved by the cogni- zant agency for indirect costs.
Purchase at retail means the acquisition, consumption or use of telecommunications through a sale at retail.
Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.
Micro-purchase means a purchase of supplies or services, the aggregate amount of which does not exceed the micro-purchase threshold. Micro-purchases comprise a subset of a district's small purchases as defined in 2 C.F.R. 200.320.
Stock Purchase Date has the meaning specified in the Stock Purchase Contract Agreement.
Minimum Purchase Price has the meaning set forth in Section 2.04.
Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.
Option Purchase Price has the meaning set forth in Section 9.36(b) hereof.
Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.
Cash Purchase Price has the meaning set forth in Section 2.1(b).
Stock Purchase has the meaning set forth in the Recitals.
Maximum Purchase Price has the meaning assigned to the term in the Pricing Side Letter.
the Purchase Price means the price to be paid by the Buyer to the Seller for the purchase of the Property;
Per Unit Purchase Price equals $7.05, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.
Purchase description means the words used in a solicitation to describe the supplies, services, or construction to be purchased, and includes specifications attached to or made a part of the solicitation.
Additional Accelerated Purchase Share Volume Maximum means, with respect to an Additional Accelerated Purchase made pursuant to Section 2(c) hereof, a number of shares of Common Stock equal to (i) the number of Purchase Shares specified by the Company in the applicable Additional Accelerated Purchase Notice as the Additional Accelerated Purchase Share Amount to be purchased by the Investor in such Additional Accelerated Purchase, divided by (ii) the Additional Accelerated Purchase Share Percentage (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).
Net Purchase Price has the meaning set forth in Section 2.1.
