Examples of Purchase Price Escrow Amount in a sentence
The Purchase Price Escrow Amount, together with the City Funded Escrow Amount, will be held in escrow as trust funds and shall not be subject to any Encumbrance, attachment, trustee process, or other judicial process of any creditor of any Person, other than SEARHC, and shall be held and disbursed solely for the purposes and in accordance with the terms of this Agreement and the Escrow Agreement.
Subscriber and the Partnership shall have the right to set off any claims made under Section Thirteenth, paragraph (b) above against the Adjusted Purchase Price Escrow Amount (as defined in Appendix A to the First Amendment).
The Purchase Price Escrow Bank shall not release any of the Purchase Price Escrow Amount except as provided in this Clause 4 and the Purchase Price Escrow Agreement.
If the Purchaser fails to pay the Purchase Price Escrow Amount into the Purchase Price Escrow Account within such 5 Business Day period, then the Seller shall have the right, by giving Notice to the Purchaser, to terminate this Agreement (other than the Surviving Clauses) and each of the other Transaction Documents.
The Purchaser shall be entitled to set off such amount against any portion of the Purchase Price, Escrow Amount or other amount payable to the Sellers in terms of this Agreement.
