Purchase Notice Date definition

Purchase Notice Date shall have the meaning specified in Section 2.2(a).

Purchase Notice Date means, during the Purchase Period, 11.00 a.m. of the date which falls 10 Business Day prior to each Payment Date.

Purchase Notice Date means, with respect to a Purchase made pursuant to Section 3.1, the Trading Day that a Purchase Notice shall be deemed delivered on (i) the Trading Day it is received by email by the Investor if such notice is received on or prior to 4:00 p.m. New York time or (ii) the next Business Day if it is received by email after 4:00 p.m. New York time on a Trading Day or at any time on a day which is not a Trading Day.

• The Prospectuses, as amended or supplemented, as of their respective dates, did not and, as of each Purchase Notice Date, if any, will not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.

• As of each Purchase Notice Date, the Shares to be sold by the Company from time to time hereunder will have been registered under Section 12(b) of the Exchange Act and approved for listing on the Principal Market, subject to official notice of issuance.

More Definitions of Purchase Notice Date

Purchase Notice Date means each date the Investor delivers to the Company a Purchase Notice.

Purchase Notice Date means the Business Day on which the Investor receives the DWAC Shares set forth in the Purchase Notice in its brokerage account.

If prior to the last day of a Purchase Period the Investor shall not have delivered Purchase Notices covering the purchase of an aggregate number of Put Shares equal to at least the Put Share Amount with respect to such Purchase Period, then the Investor shall be deemed to have delivered a Purchase Notice on the last day of such Purchase Period covering the purchase of a number of Put Shares equal to the difference of (x) the Put Share Amount with respect to such Purchase Period minus (y) the aggregate number of Put Shares covered by Purchase Notices delivered by the Investor to the Company during such Purchase Period.

Purchase Notice Date means the Business Day that the Purchase Notice is received by the Buyer.
