Fees for the JAGGAER Applications and Services will be invoiced in accordance with the terms of the Purchase Document.
No modification or amendment to the Agreement, including any Purchase Document, shall be binding upon the parties except to the extent set forth in writing and signed by duly authorized representatives of JAGGAER and Client.
Unless otherwise stated in the Purchase Document, all payments shall be made in GBP no later than thirty (30) days after the date of invoice, payable in full, without reduction for any offset, withholding or other claims (except with respect to charges then under reasonable and good faith dispute as evidenced in a writing promptly sent by Client to JAGGAER prior to the payment due date).
If Seller fails, for any reason whatsoever, to deliver the Goods to a Buyer’s customer within the time specified in the Purchase Document, and Buyer refunds that customer because of such delay, Seller shall compensate Buyer 100% of the purchase price paid by Buyer to Seller for the affected Goods, including shipping costs (if any), without prejudice to Buyer's right to claim any further compensation.
Billing-related notices to Client shall be addressed to the billing contact designated by Client in the Purchase Document, and legal notices to Client shall be addressed to Client’s signatory of this Agreement.
