Public Offering Event definition

Public Offering Event means the first date after which the Company has completed one or more Public Offerings as a result of which at least twenty percent (20%) of the outstanding Common Stock (after giving effect to such offerings) is publicly traded.
Public Offering Event is the issuance by Supplier or any Guarantor of capital stock to the public in an underwritten public offering of capital stock registered pursuant to a registration statement on Form S-1 with the federal Securities and Exchange Commission.
Public Offering Event means the first date after which the Company or any other entity holding, directly or indirectly, all of the equity interests in the Company has completed one or more public offerings of its common stock in an aggregate offering amount of at least $50.0 million or as a result of which at least fifteen percent (15%) of the common stock of such entity (after giving effect to such offerings) is publicly traded.
