The foregoing shall not apply in the case of any Shares acquired by a Transferee pursuant to a sale of Shares pursuant to an effective registration statement under the Securities Act or, except for sales to an affiliate of the Company or sales made prior to a Public Offering Event, pursuant to Rule 144.
The provisions of this Article III shall expire upon the occurrence of a Public Offering Event.
The term "Public Offering Event" shall mean such date as the Company or its successor shall have received the proceeds from its initial public offering of securities pursuant to the Securities Act of 1933, as amended, or Regulation A thereunder or the Units shall be otherwise registered pursuant to the Securities Exchange Act of 1934, as amended.
Each Holder agrees that, until the earlier of the occurrence of a Public Offering Event and 4 years from the date hereof, it will not, directly or indirectly, sell, hypothecate, give, convey, bequeath, transfer, assign, pledge or in any other way whatsoever encumber or dispose of (any such event, a “Transfer”) any shares of Capital Stock now owned or hereafter acquired by such party (or any interest therein) to any other Person, except as expressly permitted by this Agreement.
