Public Filings definition

Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

Public Filings has the meaning set forth in Section 6.06(a).

Public Filings is defined in Section 5.3.

Examples of Public Filings in a sentence

• The Public Filings do not include any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein not misleading.

• The documents filed by the Company (the "Public Filings") with the Commission at the time they were filed with the Commission, complied in all material respects with the requirements of the 1933 Act, the Securities Exchange Act of 1934, as amended (the "1934 Act"), and the rules and regulations promulgated thereunder, as applicable.

• Investors may not rely on the press release without reference to the 10-Q and the Public Filings.

• SpinCo and Parent shall use their commercially reasonable efforts to cause their respective auditors to consent to any reference to them as experts in any Public Filings required under any Law.

Public Filings means (i) the Borrower’s Annual Report on Form 10-K for the year ended May 30, 2021, and (ii) the Borrower’s Current Report on Form 8-K filed with the SEC on June 24, 2021 and any other Current Reports on Form 8-K filed with the SEC after May 30, 2021 but before the Effective Date.

Public Filings means the Borrower's annual report on Form 10-K/A for the year ended December 31, 2000, and the Borrower's quarterly report on Form 10-Q for the quarter ended March 31, 2001.

Public Filings shall have the meaning set forth in Section 3.1(m).
