Public Common Stock definition

Public Common Stock means the Class A Common Stock that has been registered with the Securities and Exchange Commission for sale to the public.

Public Common Stock means the class of equity securities of Newco acquired by the public in a Newco Transaction.

Public Common Stock means Common Stock sold in the IPO as part of the Units, whether they were purchased in the IPO or thereafter in the open market.

• Until the earlier of five years from the Effective Date or until such earlier time upon which the Company is required to cease all operations and redeem the Public Common Stock, the Company shall retain RK & Co. or another independent registered public accounting firm reasonably acceptable to the Representative.

• Such right shall be exercised by a written notice of the holder of such Interest to the transfer agent of Pubco stating that such holder desires to exchange such Interests into a proportionate number of shares of the Public Common Stock, and by instruments of transfer to the transfer agent, in form satisfactory thereto, duly executed by such holder or such holder's duly authorized attorney, and transfer tax stamps or funds therefor, if required by Section 6.2(c) below.

• Such right shall be exercised by a written notice of the holder of such Interest to the transfer agent of Pubco stating that such holder desires to exchange such Interests into a proportionate number of shares of the Public Common Stock, and by instruments of transfer to the transfer agent, in form satisfactory thereto, duly executed by such holder or such holder’s duly authorized attorney, and transfer tax stamps or funds therefor, if required by Section 6.2(c) below.

• Public has agreed to provide certain registration rights to the Holders with respect to their shares of Public Common Stock upon the terms and subject to the conditions set forth herein.

• The IPO shall be effected through the offering to the public of a single class of common stock (the “Public Common Stock”) of a newly incorporated Delaware corporation (“Pubco”) the sole assets of which (other than assets incidental to its operation as a publicly held company) would be Interests exchanged pursuant to Section 6.2 below by Xxxx Atlantic and/or Vodafone or their respective Affiliates for the shares of Public Common Stock to be so offered (the “Exchanged Shares”) .
