Provider Materials definition

Provider Materials means the Service Software, Specifications, Documentation and Provider Systems and any and all other information, data, documents, materials, works and other content, devices, methods, processes, hardware, software and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans or reports, that are provided or used by Provider or any Subcontractor in connection with the Services or otherwise comprise or relate to the Services or Provider Systems. For the avoidance of doubt, Provider Materials include Resultant Data and any information, data or other content derived from Provider's monitoring of Customer's access to or use of the Services, but do not include Customer Data.

Provider Materials means the Product, any software programs, tools, utilities, processes, inventions, devices, methodologies, specifications, documentation, techniques and materials of any kind used or developed by Provider or its personnel in connection with providing the Product and related services.

Provider Materials means the Services, Documentation, and Provider Systems and any and all other information, data, documents, materials, works, and other content, devices, methods, processes, hardware, software, and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans, or reports, that are provided or used by Provider or any Subcontractor in connection with the Services or otherwise comprise or relate to the Services or Provider Systems. For the avoidance of doubt, Provider Materials include Resultant Data and any information, data, or other content derived from Provider’s monitoring of Customer’s access to or use of the Services, but do not include Customer Data.

Examples of Provider Materials in a sentence

• The Customer shall not, and shall not permit any other Person (including permit any of the foregoing to be done by any Person, including the Authorized Users) to, access or use the Services or Provider Materials except as expressly permitted by this Agreement and, in the case of Third-Party Materials, the applicable third-party licence agreement.

• The Provider may, from time to time and its sole discretion, update the Provider Materials (including the underlying server software or hardware) or otherwise offer Upgrades, which Upgrades will form part of the Services provided hereunder without further payment by the Customer.

• The Customer acknowledges and agrees that it has no right, licence, or authorization with respect to any of the Services or Provider Materials (including any Intellectual Property Rights therein).

• Without limiting the foregoing, all Provider Materials and the financial terms and existence of this Agreement are the Confidential Information of the Provider, and Customer Data is the Confidential Information of the Customer.

• The Customer acknowledges that any and all right, title, and interest in and to the Services, Provider Materials, and Third-Party Materials (including any Intellectual Property Rights therein), and any modifications, improvements, or enhancements made thereto, are and remain the sole property of the Provider or respective rights holders in the Third-Party Materials.

More Definitions of Provider Materials

Provider Materials means the Service and any documentation relating to the Service.

Provider Materials means the Services, Specifications, Documentation, and Provider Systems and any and all other information, data, documents, materials, works, and other content, devices, methods, processes, hardware, software, and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans, or reports, that are provided or used by Provider or any Subcontractor in connection with any of the Services or otherwise comprise or relate to the Services or Provider Systems. For the avoidance of doubt, Provider Materials include Resultant Data and any information, data, or other content derived from Provider's monitoring of Customer's access to or use of the Services, but do not include Customer Data.

Provider Materials means information authored solely by Provider (excluding the Deliverables).

Provider Materials means any other intellectual property rights, information and materials provided by the Provider to Pebble.

Provider Materials has the meaning given in Section 4.

Provider Materials means proprietary methodologies, tools, models, software, procedures, documentation, know-how and processes owned or licensed by Provider independent of this Agreement which (a) are utilized by Provider in performing its obligation under this Agreement, (b) have been clearly identified to Company in writing as proprietary to Provider and not to be property of Company, and (c) were not designed or otherwise created for Company or based on, or derived from, any Company Confidential Information.

Provider Materials means all works developed, written or prepared by Kaleidoko outside of the Deliverables (excluding Preparatory Materials) that form the foundation on which Kaleidoko serves all of its clients (whether in verbal, hard copy or electronic form), and may be used in connection with the Services (whether developed, written or prepared before or after the signing of this Agreement) including (but not limited to) records, reports, studies, papers, diagrams, charts, artworks, drawings, graphics, illustrations, photos, audio, videos, presentations, objects, items, concepts, data, models, algorithms, specifications, software, processes, templates, systems, innovations, inventions, ideas, discoveries, manuals, instructions, working papers and other documents, the rights in which are to be licensed (rather than assigned) by Kaleidoko to the Client in accordance with Clause [9.3];
