Examples of Proration Factor in a sentence
The number of shares in the Initial Stock Grant to an Eligible Participant shall be determined by multiplying the Proration Factor (as defined below) by the amount determined by (A) dividing the Annual Stock Retainer as in effect for that Plan Year, by the Fair Market Value of the Stock on the Grant Date, and (B) rounding to the nearest whole number.
Participants in the Plan with less than one year of service will be eligible for a prorated incentive amount as set forth in Proration Factor below.
Stratasys Shares accepted for payment pursuant to the offer will be paid promptly following the calculation of the final Proration Factor.
The Proration Factor is a fraction, the numerator of which is the number of full months of service as a Non-Employee Director between the Grant Date and the next annual shareholders’ meeting date, and the denominator of which is 12.
Employees in the following situations will have a Proration Factor of less than 1.00: • Participants in the Plan who transferred to a new position not covered by the Plan • Employees who transferred from one incentive-eligible position to another incentive-eligible position.
