Proposed Terms has the meaning set forth in Section 11.2.

  • In making its selection, (i) the arbitrator shall not modify the terms or conditions of either Party’s Proposed Terms nor shall the arbitrator combine provisions from both Proposed Terms and (ii) the arbitrator shall consider the terms and conditions of this Agreement, the relative merits of the Proposed Terms, the Support Memorandums and, if applicable, the oral arguments of the Parties.

Proposed Terms means, with respect to any Refinancing Loan, to the extent applicable, the interest rate, amount, term, application and financing fees, lock box requirements, recourse guarantees, indemnity requirements and prepayment penalties and prohibitions, closing and funding conditions, reserve requirements, closing date and any other non-customary terms in a transaction of such type.
