For illustrative purposes, the chart below sets forth the incremental increases to Base Rent to account for the Additional Base Rent, subject to adjustment pursuant to this Section 7, to be phased in during the Additional Base Rent Adjustment Period, and the rent chart attached as Exhibit F to this Amendment sets forth the monthly aggregate Base Rent and Property Management Fee for the Term of the Lease, including the adjustments to Base Rent as set forth in the Lease.
As used herein, “Rent” is comprised of the following: (i) the Base Rent (as defined in Exhibit B); (ii) the Monthly Expense Payment (as defined in Exhibit B); (iii) the Additional Monthly Payment (as defined in below in Section 3.3); (iv) the Property Management Fee (as defined in Exhibit B); (v) the Annual Adjusting Rent Payment (as defined in Section 8.1); and (vi) Additional Rent (as defined in Exhibit B).
The proposed operating budget shall include with particularity the projected (I) Gross Revenues, (II) Approved Operating Expenses, (III) Senior Debt Service Payments, (IV) the Property Management Fee payments, (V) payments into or withdrawals from the Replacement Reserve, and (VI) Residual Receipts, on a month-by-month basis for the applicable Budget Year.
The monthly Property Management Fee in respect of a month shall be paid on the last business day of such month.
The Manager shall be entitled to the fees from each Series including, but not limited to, (i) the Property Management Fee and any fees described in the Series Designation, and (ii) to expense reimbursement, in each case in accordance with the Management Agreement.
