Prohibited Transferee definition

Prohibited Transferee means any Person who is a:
Prohibited Transferee means any of the Persons listed on Schedule I attached to this Agreement.

  • Any proceeds in excess of the amount payable to the Prohibited Transferee shall be payable to the Charitable Beneficiary.

  • The Prohibited Transferee shall receive the lesser of (1) the price paid by the Prohibited Transferee for the shares or, if the Prohibited Transferee did not give value for the shares (through a gift, devise or other transaction), the Market Price of the shares on the day of the event causing the shares to be held in the Trust and (2) the price per share received by the Trustee from the sale or other disposition of the shares held in the Trust.

More Definitions of Prohibited Transferee

Prohibited Transferee means (a) any Company Competitor, (b) any Activist Investor or (c) any Person who after such Transfer, would Beneficially Own more than 5 % of the Voting Securities and to the knowledge of the Shareholder, after due inquiry on the date of the applicable Transfer, would report its ownership position on Schedule 13D (or successor form).
Prohibited Transferee means any Person who, to the knowledge of the Stockholder (with respect to clause (ii), based solely upon publicly available information), is (i) a Company Competitor or (ii) a Person or Group (other than a Permitted Transferee) who at the time of such Transfer Beneficially Owns more than 5% of the Voting Securities.
Prohibited Transferee means any hedge fund, any so-called vulture fund or loan-to-own fund, any distressed debt fund or any other fund that is similar to any of the foregoing.
